What the Water Solutions Agreement Covers

A Water Solutions Agreement is a contract between a service provider and a client that establishes scope, deliverables, timelines, pricing, liability, and maintenance for water-related services such as treatment, delivery, system installation, testing, or repair. The agreement defines responsibilities for permits and inspections, allocates risk for regulatory compliance, and typically includes payment milestones, warranty and indemnity language, insurance and licensing requirements, and dispute resolution provisions to govern the relationship during the project lifecycle.

Why a Clear Agreement Matters for Water Projects

A well-drafted Water Solutions Agreement reduces ambiguity about scope, helps secure permits, and limits disputes by documenting milestones, acceptance criteria, and payment terms.

Why a Clear Agreement Matters for Water Projects

Who Typically Prepares and Signs This Agreement

Construction contractors, municipal agencies, property owners, and environmental service firms commonly draft or request Water Solutions Agreements before work begins.

  • Licensed contractors and subcontractors managing installation, testing, or repair of water systems.
  • Property owners and commercial facility managers procuring water services or capital upgrades.
  • Government agencies and utilities contracting vendors for water treatment or system maintenance.

The document is also used by facilities managers and regulated entities that must demonstrate compliance to inspectors, lenders, or insurers during and after project completion.

Primary Signatories and Their Roles

Contractor Rep

An authorized company officer or project manager who signs on behalf of the service provider, confirms licensing and insurance, and accepts operational and warranty obligations; ensure corporate signatory authority before execution.

Client Owner

A property owner, facilities director, or authorized procurement officer who signs for the client entity, confirms scope acceptance, approves payment milestones, and provides official project approvals or permit authorizations as required.

Essential Information to Include

Typical Deadlines and Timing Expectations

Milestone Payments:

Common Preparation Mistakes to Avoid

  • Failing to identify the party responsible for securing permits, which can delay start dates and shift liability in disputes.
  • Using vague scope language such as 'work as needed,' leading to repeated change orders and cost overruns.
  • Omitting insurance or license details; without these, payments may be withheld or work halted by regulators.
  • Neglecting to specify acceptance criteria and testing protocols, increasing the risk of contested completion and withholding of final payment.

Consequences of an Incomplete or Incorrect Agreement

Regulatory Fines: State or local penalties
Permit Denial: Work stoppage risk
Liability Exposure: Increased indemnity claims
Payment Disputes: Withholding or litigation
Lien Risk: Mechanic's lien filings possible
Contract Termination: Early termination costs
