Recitals

WHEREAS, Client owns or controls the property located at: (the "Property"); and

WHEREAS, Contractor provides services in water treatment, including but not limited to installation, maintenance, testing, and chemical treatment of water systems, and represents that Contractor has the necessary experience, licenses and insurance to perform such services; and

WHEREAS, Client desires to engage Contractor, and Contractor agrees to perform such services pursuant to the terms and conditions set forth in this Agreement.

Scope of Work

Contractor shall furnish all labor, materials, equipment, tools, permits and supervision necessary to perform the work described above in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

Invoices are due and payable within days of receipt. Late payments shall incur interest at per month (or the maximum allowed by law), plus reasonable collection costs.

Term and Termination

This Agreement commences on the Start Date: and continues until the End Date: unless earlier terminated in accordance with this section.

Either party may terminate for convenience by providing written notice to the other party at least days prior to the effective termination date. For material breach, the non-breaching party may terminate if the breaching party fails to cure within days after written notice of breach.

Access, Safety and Compliance

Client shall provide Contractor reasonable access to the Property and safe working conditions. Contractor shall comply with all applicable federal, state and local laws, ordinances and regulations relating to water treatment, handling and disposal of chemicals, worker safety and environmental protection.

Confidentiality

Each party acknowledges that it may receive Confidential Information from the other. "Confidential Information" means non-public technical, operational, business, or financial information disclosed in written, oral or electronic form. Receiving party shall hold Confidential Information in confidence, use it only to perform under this Agreement, and not disclose it to third parties except to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as this clause. Confidential Information does not include information that is or becomes public through no fault of the receiving party, or that is independently developed without use of the disclosing party's Confidential Information.

Insurance and Liability

Contractor shall maintain liability insurance and workers' compensation as required by law and sufficient to cover performance of the work. Contractor's liability for direct damages arising from Contractor's negligence shall be limited to the total amount paid by Client under this Agreement for the work giving rise to the claim. In no event shall either party be liable for consequential, incidental or punitive damages except for claims arising from gross negligence or willful misconduct.

Indemnification

Each party (Indemnifying Party) shall indemnify, defend and hold harmless the other party (Indemnified Party) from and against claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's breach of this Agreement, negligence or willful misconduct, except to the extent such claims arise from the Indemnified Party's negligence or breach.

Warranties; Remedies

Contractor warrants that services will be performed in a professional manner consistent with industry standards. For a period of days following completion, Contractor shall, at its option, re-perform defective services at no additional charge or issue a refund for the portion of services not performed in accordance with this Agreement. This warranty does not apply to defects resulting from abuse, misuse, modification, or improper maintenance by Client.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt to resolve disputes in good faith. If unresolved, disputes shall be resolved by binding arbitration in the county where the Property is located, unless the parties mutually agree otherwise.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, proposals and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign or subcontract this Agreement in whole without the other party's prior written consent, except that Contractor may subcontract portions of the work to qualified subcontractors while remaining responsible for performance. Notices under this Agreement shall be in writing and delivered to the addresses provided above.
