WATER USAGE DOCUMENT

This Water Usage Document (the Agreement) is entered into effective as of between:

RECITALS

WHEREAS, Provider owns, operates or controls water supply and metering infrastructure and is authorized to supply potable and non-potable water for authorized uses within the service area; and

WHEREAS, Customer requires water service for the premises located at and will accept supply subject to the terms and charges set forth herein; and

WHEREAS, the parties wish to confirm responsibilities for measurement, billing, permitted uses, and remedies for noncompliance.

METERING AND SERVICE DETAILS

SCOPE OF WORK

Provider shall supply water to Customer at the Service Address in accordance with the terms below. Provider shall measure usage via the Meter and shall provide periodic meter readings, maintenance of the Meter, and billing in accordance with the agreed Rate Schedule. Customer shall allow access to the Meter for inspection, repair, calibration and reading upon reasonable notice or in emergency circumstances without prior notice.

PAYMENT TERMS

Customer shall pay Provider for water supplied according to the Rate Schedule and Billing Schedule set forth herein. All amounts are payable in lawful currency. Provider may suspend service for nonpayment consistent with the notice provisions of this Agreement.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate for material breach if such breach is not cured within the notice period set forth above. Termination for nonpayment shall permit Provider to discontinue service after written notice and the expiration of the notice period.

CONFIDENTIALITY

"Confidential Information" means non-public business, technical, financial and operational information disclosed by one party to the other in connection with this Agreement. Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) disclose Confidential Information only to employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, is already lawfully in the receiving party's possession at the time of disclosure, is independently developed by the receiving party without use of the disclosing party's Confidential Information, or is required to be disclosed by law or by a valid order of a governmental authority (provided the receiving party gives prompt notice to the disclosing party to allow contesting the disclosure).

MEASUREMENT DISPUTES; ADJUSTMENTS

If either party disputes a meter reading or bill, the disputing party must notify the other in writing within thirty (30) days of the bill date, specifying the basis of the dispute. The parties shall cooperate to re-measure usage; if a meter test shows the meter reading was in error, Provider will adjust invoices retroactively for the period attributable to the error. Meter testing shall be performed by an accredited technician mutually acceptable to the parties and costs allocated as provided by agreement or governing law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified by the parties for governance. Any action arising out of or related to this Agreement shall be brought only in the state or federal courts located within the agreed governing jurisdiction.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments if any, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. Provider represents that water supplied will conform to applicable quality standards to the extent set forth by statute or regulation applicable to Provider's operations.

NOTICES

ADDITIONAL PROVISIONS

Remedies provided in this Agreement are cumulative and in addition to any other remedies available at law or in equity. The parties agree that injunctive relief may be sought to prevent irreparable harm in the event of a breach of confidentiality or unauthorized use of water.
