RECITALS

WHEREAS, Service Provider operates water delivery, metering, monitoring, or advisory services and possesses the capability to measure and report water consumption and to provide related services; and

WHEREAS, Client desires to engage Service Provider to monitor, report, and manage water usage at the Property described below under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows.

SCOPE OF WORK

Service Provider will perform water metering, monitoring, data reporting, and related advisory services at the Property. Services include meter verification, periodic readings, consumption analysis, and delivery of usage reports as set forth below. Service Provider will also provide reasonable recommendations for conservation if excessive consumption is detected.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to termination. Termination for material breach by either party is effective upon written notice if the breaching party fails to cure within days after receipt of notice specifying the breach.

CONFIDENTIALITY

Each party shall maintain in confidence all nonpublic information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is publicly available through no breach of this Agreement, rightfully received from a third party without restriction, or independently developed. Confidential Information shall be used solely for performance under this Agreement. Obligations of confidentiality survive termination for a period of three (3) years.

COMPLIANCE, ACCESS, AND CONSERVATION

Client grants Service Provider reasonable access to meter locations and records necessary to perform the Services. Client certifies that installation of monitoring equipment will comply with applicable local regulations and property owner requirements. Client agrees to consider conservation recommendations and acknowledges that Service Provider has no obligation to alter municipal supply or regulatory conditions.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the same subject matter. Any amendment must be in writing and signed by both parties.

Each party represents and warrants that it has the full right, power, and authority to enter into and perform this Agreement.
