Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period above. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred prior to termination.

Confidentiality

The parties agree that exclusive venue for any dispute arising under this Agreement shall be the appropriate state or federal court located in the jurisdiction of the property.

This Agreement, including all attachments and written proposals referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

Liability and Certification

Service Provider warrants that inspections will be performed in a professional manner consistent with industry standards. Except as expressly provided, Service Provider makes no other warranties and shall not be liable for consequential, incidental, or punitive damages. Client acknowledges that inspection is visual and limited in scope and that hidden defects may exist.
