Seller shall, at closing, deliver a properly executed bill of sale and any documents necessary to transfer title.

Buyer acknowledges that, except as expressly provided in a written warranty delivered with this Agreement, the vessel is sold as-is, with all faults and defects, known or unknown, and Buyer has been given the opportunity to inspect the vessel prior to purchase. INSPECTION, ACCEPTANCE, RISK OF LOSS

The parties agree that the terms of this Agreement, including the Purchase Price and payment terms, and any non-public information exchanged in connection with the negotiation and performance of this Agreement, shall be treated as confidential and shall not be disclosed to any third party except as required by law, to professional advisors on a need-to-know basis, or with the prior written consent of the other party. Each party shall use at least reasonable care to protect confidential information.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.
