Recitals

WHEREAS, Provider is engaged in the business of supplying, installing, configuring and maintaining environmental monitoring equipment, including automatic weather stations; and

WHEREAS, Client desires to procure a weather station and related services for the Site identified below, and Provider is willing to supply such equipment and services pursuant to the terms of this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Scope of Work

Provider will supply, install, commission and, if selected, maintain the weather station equipment at the Site. The Scope of Work shall include equipment model and specifications, installation tasks, testing, training and initial calibration. Detailed scope and special instructions:

Either party may terminate this Agreement for material breach or failure to cure within the notice period specified below. Notice to terminate must be provided in writing as set forth in the Notices section.

Confidentiality

Each party shall maintain in confidence and shall not disclose to any third party any Confidential Information of the other party except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public business, technical, and operational information, including raw data and derived datasets generated by the weather station, subject to the Data Ownership and Use clause below. This obligation survives termination for a period of three (3) years.

Data Ownership and Use

The parties agree to the following allocation of rights in data generated by the installed equipment. Select the applicable option(s):

Client retains exclusive ownership of raw and processed data collected at the Site.

Provider retains ownership of proprietary algorithms and firmware; Provider may use aggregated, anonymized data for research and product improvement.

Insurance and Liability

Provider shall maintain liability insurance in amounts customary for this type of work. Liability of each party for direct damages arising from this Agreement shall be limited to the greater of the total fees paid under this Agreement or the amount set forth below.

Calibration, Testing and Acceptance

Provider will perform initial calibration and functional testing at installation. Client will have a period of ten (10) business days following installation to inspect and accept the system. Acceptance criteria and remedial steps if acceptance fails:

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier.

This Agreement shall be governed by and construed in accordance with the laws of:

Entire Agreement

This Agreement, including any exhibits or attachments executed by the parties, contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendments must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. Waiver: Failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.
