WEBCAM USAGE AGREEMENT

This Webcam Usage Agreement (the Agreement) is entered into between:

WHEREAS

WHEREAS, Provider operates webcam services and possesses the technical capability and personnel to provide webcam performances, recordings, broadcasts and related media content (the Services); and

WHEREAS, Client desires to engage Provider to perform Services subject to the terms and conditions set forth in this Agreement, including consent to recording, distribution and permitted uses described herein; and

WHEREAS, the parties intend to define rights, compensation, confidentiality and restrictions on use of recorded or live webcam content.

SCOPE OF WORK

Provider will perform webcam services as described below. Provider shall perform Services in a professional manner consistent with industry standards and applicable law.

USAGE RIGHTS AND CONSENT

Provider grants Client a non-exclusive, non-transferable license to access and view live webcam sessions for the term of this Agreement, subject to the restrictions and permissions set forth below. Client acknowledges and consents to the recording, storage, distribution and permitted commercial use described in this section.

Restrictions: Recorded content may not be reproduced, edited, redistributed, sublicensed or otherwise exploited beyond the rights granted herein without the express written consent of Provider and Client where applicable.

PAYMENT TERMS

Compensation for Services shall be as follows.

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure within the notice period specified above. Termination shall not relieve Client of obligation to pay for Services performed prior to termination.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information includes all non-public information disclosed by either party, including but not limited to business practices, technical information, recorded session files not approved for distribution, pricing, and personal identifying information. Confidential Information does not include information that (a) is or becomes publicly available through no fault of the recipient; (b) was known to the recipient prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the recipient without use of the discloser's Confidential Information.

Each party agrees to protect Confidential Information with the same degree of care used to protect its own confidential information and to use such information only for performance under this Agreement. Upon termination, recipient shall return or destroy Confidential Information as requested by the discloser and certify destruction upon reasonable request.

INTELLECTUAL PROPERTY & DATA

Unless otherwise agreed in writing, Provider retains all intellectual property rights in any original content, recordings, and materials created by Provider. Client is granted only the limited usage rights expressly set forth herein. Any personal data collected shall be processed in accordance with applicable data protection law; parties shall implement reasonable security measures to protect such data.

INDEMNIFICATION & LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct or violation of law. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT DURING THE SIX MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles. Venue for any dispute shall lie in the state or federal courts located within that state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, understandings and agreements. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect. No failure or delay by either party to exercise any right shall operate as a waiver of that right.
