Confidential Information shall not include information that is or becomes publicly available through no breach by the receiving party, or is rightfully received from a third party without restriction. INTELLECTUAL PROPERTY

Sponsor grants Organizer a limited, non-exclusive, royalty-free license to use Sponsor's trademarks, logos, and materials solely for the promotional purposes set forth in this Offer and only for the term of this Offer. All other intellectual property rights remain with the originating party.

LIMITATION OF LIABILITY

Except for liability arising from a party's gross negligence or willful misconduct, neither party shall be liable to the other for incidental, consequential, punitive, or special damages. The total aggregate liability of either party for any claim arising out of or related to this Offer shall not exceed the total amounts paid or payable by Sponsor under this Offer.

NOTICES

GOVERNING LAW; ENTIRE AGREEMENT

This Offer shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties agree that the state and federal courts located in that state shall have exclusive jurisdiction over disputes arising out of or related to this Offer.
