WHEREAS, Client is engaged in the business of operating and marketing its brand and desires to retain Developer to provide website development services in accordance with the terms set forth herein; and

WHEREAS, Developer represents that it has the necessary skill, experience and resources to design, develop, configure and deliver the website and related services described in this request form; and

WHEREAS, the parties desire to set forth the scope, payment terms, schedule, and legal terms governing the development work and deliverables as set forth in this document.

All fees are exclusive of taxes and third-party costs; Client will reimburse pre-approved third-party expenses upon provision of receipts or invoices.

Acceptance, Testing & Deliverables

Intellectual Property

Unless otherwise agreed in writing, upon full payment Developer assigns to Client all right, title and interest in the custom code, graphics and content specifically created as deliverables under this request form. Developer retains ownership of pre-existing code, tools, libraries, and generic frameworks not developed specifically for Client; Developer grants Client a perpetual, worldwide, non-exclusive license to any such components incorporated in the deliverable to the extent necessary to use the website as intended.

Third-party components (themes, plugins, or stock assets) remain subject to their respective licenses; Client is responsible for any licensing fees for third-party software where required.

Confidentiality

Each party shall keep confidential all non-public business and technical information disclosed by the other party in connection with the services and shall not disclose such information except to employees or subcontractors who need to know and who are bound by confidentiality obligations no less protective than those herein. This confidentiality obligation shall survive termination for a period of .

Either party may terminate upon days' prior written notice. Immediate termination may occur for material breach that remains uncured for 15 days after written notice, insolvency, or illegal conduct. Upon termination Client will pay Developer for all work performed and non-cancellable commitments incurred through the effective date of termination.

Warranties, Indemnity & Liability

Developer warrants that the services will be performed in a professional manner consistent with industry standards. Except for the express warranty set forth herein, services and deliverables are provided "as is" and Developer disclaims all other warranties. Each party shall indemnify the other for third-party claims arising from breach of representations, willful misconduct, or gross negligence. Neither party shall be liable for indirect, incidental or consequential damages; aggregate liability shall not exceed fees paid under this request form for the related services.

Governing Law

This request form and any dispute arising out of it shall be governed by the laws of the State of without regard to conflict of law principles.

Entire Agreement

This request form, together with any referenced statements of work, attachments and accepted change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, proposals and understandings.
