Website Maintenance Agreement

Recitals

WHEREAS, Client has engaged Service Provider to perform website maintenance, updates, and related support services for Client's website(s); and

WHEREAS, Service Provider has the technical expertise, personnel, and resources necessary to provide such maintenance services under the terms of this Agreement; and

WHEREAS, the Parties desire to set forth the scope, payment terms, confidentiality obligations, and other terms governing the ongoing maintenance relationship.

Agreement Effective Date

This Agreement is effective as of (the Effective Date).

Scope of Work

Service Provider shall perform the maintenance services described below. Services include but are not limited to software updates, security patching, content updates, backups, performance monitoring, and troubleshooting. Specific tasks, deliverables, and exclusions are described in the Scope of Work field.

Service Levels and Response Times

Service Provider will use commercially reasonable efforts to provide the following response and resolution targets. Response time means initial acknowledgement; resolution time means substantive remediation or a documented workaround.

Payment Terms

Client shall pay Service Provider the fees described below for maintenance services. All fees are exclusive of taxes; Client is responsible for taxes arising from payments under this Agreement.

Late Payment: Unpaid amounts shall accrue interest at or the maximum rate permitted by law, whichever is less. Client will also reimburse Service Provider for reasonable collection costs.

Term and Termination

This Agreement commences on the Effective Date and continues until terminated in accordance with this section. The initial term shall begin on and end on unless earlier terminated.

Either Party may terminate for material breach if the breaching Party fails to cure within the notice period set forth above. Termination for convenience is permitted subject to the notice period and payment of all accrued fees.

Confidentiality

Each Party shall keep confidential all non-public information disclosed by the other Party that is marked or otherwise identified as confidential, and shall not use such information except to perform its obligations under this Agreement. Confidential information does not include information that (a) is or becomes public through no fault of the receiving Party, (b) is already known by the receiving Party without restriction, or (c) is lawfully obtained from a third party without restriction.

Intellectual Property

All pre-existing intellectual property of each Party remains that Party's sole property. Subject to Client's payment in full, Service Provider assigns to Client all right, title and interest in and to deliverables created specifically for Client under this Agreement; provided, however, that Service Provider may retain copies for archival and professional portfolio purposes and may retain any underlying tools, libraries, or general know-how used in development.

Change Requests

Changes to the Scope of Work will be handled as change requests. Service Provider shall provide a written estimate for scope, schedule, and fees for each change request; no change will be performed without Client's written approval.

Limitation of Liability; Indemnification

Except for liability arising from willful misconduct or gross negligence, each Party's aggregate liability for claims arising out of or relating to this Agreement shall be limited to the total fees paid by Client to Service Provider in the twelve (12) months preceding the claim. In no event shall either Party be liable for consequential, incidental, special or punitive damages. Client shall indemnify and hold Service Provider harmless from claims arising from Client-provided content, third-party integrations, or Client's breach of representations herein.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement; Severability

This Agreement, including any exhibits or statements of work incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior or contemporaneous understandings, negotiations, or agreements, whether written or oral. If any provision is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.
