Recitals

THIS AGREEMENT is made effective as of by and between Awarding Organization: and Recipient (Awardee): .

WHEREAS, Awarding Organization conducts an annual evaluation program to recognize outstanding websites for design, accessibility, performance, or content; and

WHEREAS, Recipient is the owner or authorized representative of the website identified as and has been selected to receive the Website Recognition Award on the terms set forth below.

Scope of Work

Awarding Organization will provide the following recognition activities during the Recognition Period described below. The specific deliverables, timing, and responsibilities are set forth in the Scope field and are incorporated into this Agreement by reference.

Payment Terms

If a monetary award or sponsorship payment is part of this recognition, the parties agree to the following payment terms.

Term and Termination

This Agreement commences on the Start Date below and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the Notice Period after receiving written notice of the breach. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

Each party shall treat as confidential and shall not disclose to third parties any proprietary or confidential information received from the other party in connection with this Agreement, except information that (a) is or becomes public other than by breach of this Agreement, (b) was already known to the receiving party without restriction at the time of disclosure, or (c) is required to be disclosed by law, provided that the disclosing party is given prior written notice and opportunity to seek protective measures. Confidential information includes scoring data, judges' notes, unreleased press materials, and compensation terms.

Publicity and Intellectual Property

Recipient grants Awarding Organization a non-exclusive, royalty-free license to use Recipient's name, award-winning website name, and approved logos in connection with announcing and promoting the award, subject to Recipient's prior written approval of any use of trademarks or logos beyond the award announcement. Recipient retains all ownership rights in its website content and trademarks. Any reproduction of Recipient materials shall include attribution to Recipient and must not be materially altered without consent.

Indemnification

Each party agrees to indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, gross negligence, or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified below without regard to conflict of law rules.

Entire Agreement

This Agreement, including all attachments and incorporated schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
