What a Website Redesign Agreement Covers

A Website Redesign Agreement is a written contract that defines the relationship between a client and a designer or agency for recreating, updating, or overhauling a website. It sets the project scope, deliverables, milestones, payment terms, intellectual property ownership, warranties, and acceptance criteria. The agreement allocates responsibilities for content, testing, hosting, and post-launch support, and can specify timelines, change-order procedures, and dispute-resolution steps. Using a clear, signed agreement reduces ambiguity about scope and payment and documents the parties’ intent and legal obligations.

Why a Written Agreement Matters for Redesigns

A formal Website Redesign Agreement clarifies expectations, protects intellectual property, and reduces scope creep while providing an enforceable record of obligations and remedies.

Why a Written Agreement Matters for Redesigns

Who Typically Uses This Agreement

Common parties using a Website Redesign Agreement include marketing teams, creative agencies, freelance designers, product owners, and in-house IT teams.

  • Marketing teams commissioning brand or UX updates and needing clear acceptance criteria and launch schedules.
  • Creative agencies and contractors setting payment milestones, IP assignment, and change-order procedures.
  • Legal or procurement teams requiring contract terms, warranties, and dispute resolution language.

Use the agreement template to align internal stakeholders and to provide a single source of truth for project scope, deliverables, and payment.

Primary Signatories and Their Roles

Marketing Director

Signs for the client side, approves scope and acceptance criteria, and authorizes payments. Responsible for providing content and timely reviews to avoid schedule delays.

Agency CEO

Signs for the vendor side, binds the agency to deliverables, assigns IP rights as agreed, and ensures resource allocation and warranty support after launch.

Essential Clauses to Include

A professional agreement should allocate responsibilities, set clear milestones, and define remedies so both parties know expectations and next steps.

Scope of Work

Describe pages, templates, integrations, responsive breakpoints, content migration scope, and excluded items. Use exhibits for technical specifications and acceptance tests.

Deliverables & Milestones

List deliverables with milestone dates, review windows, and acceptance procedures. Tie payment schedule to milestone acceptance to reduce disputes.

Change Orders

Define a process for scope changes including written requests, cost estimates, and updated timelines to prevent scope creep.

Payment Terms

Specify fees, deposit amounts, milestone payments, late-payment interest, and any retainers or refund conditions.

Intellectual Property

State ownership of code, designs, and content after final payment, license terms for preexisting tools, and rights to use libraries or third-party assets.

Warranties & Support

Include warranty period, bug-fix obligations, hosting or maintenance options, and escalation contacts for post-launch issues.

Step-by-step: How to complete the Agreement

Follow these steps to prepare, review, and finalize a Website Redesign Agreement with minimal rework and clear approvals.

  • 01
Prepare Draft: Populate parties, scope, milestones, and payment fields before internal review.
  • 02
Internal Review: Legal and procurement review terms, insurance, and IP clauses for compliance.
  • 03
Client Approval: Share for client review, capture comments, and finalize change orders in writing.
  • 04
Sign and Archive: Execute signatures, save signed copy, and distribute to stakeholders.

Configuring an Online Signing Workflow

Set up a digital workflow to collect signatures, enforce signer order, and retain a complete audit trail.

Field Configuration
Document Upload Upload final PDF or DOCX; include exhibits as separate attachments.
Signer Order Define sequential or parallel signing to control review flow.
Authentication Choose email, SMS code, or higher verification as required by risk.
Notifications Enable reminders and completion notifications for all parties.

Typical eSigning Flow for the Agreement

A standard digital signing process reduces turnaround time and preserves an auditable signing record for each party.

  • Upload: Sender uploads agreement and attaches exhibits.
  • Place Fields: Add signature, date, initials, and checkbox fields where required.
  • Add Signers: Enter signer emails and set signer order if sequential.
  • Send: Platform delivers secure links; completion generates a certificate.

Delivery and Technical Considerations

Choose a delivery method that preserves the agreement and audit trail while meeting regulatory needs.

  • Document Types: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, or advanced

Ensure chosen platform supports export of a tamper-evident signed PDF and stores an audit trail for retention and compliance.

Security and Compliance Essentials

Encryption: AES-256 at rest; TLS 1.2/1.3 in transit
Authentication: Email, SMS, KBA, or SSO options
Audit Trail: Timestamps, IP, and action log
Certifications: SOC 2 Type II; ISO 27001 available
HIPAA: BAA available for protected data
Regulatory: Compliant with ESIGN and UETA

Common Project Deadlines and Expectations

Set realistic review windows and milestone dates to keep a redesign on schedule and to avoid late fees or delivery slippage.

Project Kickoff Date:

Date when work begins and timelines start.

Design Milestone:

First design review due within two to three weeks.

Client Review Window:

Typically 3–5 business days per review cycle.

Final Delivery:

Final site delivery and launch date as agreed.

Maintenance Start:

Warranty/support period starts at final acceptance.

Common Preparation Mistakes to Avoid

  • Vague scope descriptions that omit essential deliverables and acceptance criteria, leading to disputes and rework.
  • Missing milestone-based payments that result in misaligned incentives and delayed approvals.
  • Failing to attach technical specs or content inventories, which causes scope misunderstandings during development.
  • Not specifying third-party licenses or integrations, which can cause compliance or cost surprises later.

Risks of an Incomplete or Incorrect Agreement

Delayed Launch: Missed deadlines and lost revenue
Scope Disputes: Extra unpaid work or litigation
IP Ambiguity: Ownership claims after delivery
Payment Disputes: Withheld invoices or penalties
Regulatory Noncompliance: Privacy or accessibility fines
Data Loss: Insufficient backup or retention
