WHEREAS, Client desires to engage Contractor to perform a professional redesign of Client's website, including visual redesign, content migration, and functional improvements described herein; and

WHEREAS, Contractor represents that it has the expertise and resources to perform the redesign services on the terms and conditions set forth in this Proposal; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

Client Responsibilities

Change Orders

Any changes to scope shall be documented in a written change order signed by both parties. Change orders may affect fees and schedule; hourly rate for out-of-scope work: per hour.

Acceptance and Warranty

Client shall have days from delivery of each deliverable to review and provide written acceptance or documented defects. Contractor warrants that developed deliverables will conform substantially to agreed specifications for a period of days after final acceptance; warranty covers correction of defects at no additional cost, excluding third-party services and content.

Intellectual Property

Upon full and final payment of all amounts due, Contractor assigns to Client all right, title and interest in the final deliverables created specifically for Client under this Proposal, except for Contractor pre-existing tools, libraries, frameworks, and third-party components which remain subject to their respective licenses. Contractor retains the right to display deliverables in its portfolio unless Client indicates confidentiality concerns in writing.

Confidentiality

Each party shall hold the other's confidential information in strict confidence and shall not disclose such information except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations. Confidential information includes non-public business, technical, and financial information and any information designated confidential. Confidentiality obligations survive termination of this Proposal for a period of three (3) years.

Either party may terminate this Proposal for material breach if the breaching party fails to cure within days after written notice. Either party may terminate for convenience upon days' prior written notice. Upon termination, Client shall pay Contractor for work performed and non-cancellable commitments incurred through the effective date of termination.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other from claims arising out of its gross negligence or willful misconduct. Except for indemnification for third-party intellectual property infringement and willful misconduct, each party's aggregate liability under this Proposal shall not exceed the total fees paid by Client to Contractor under this Proposal.

Governing Law

This Proposal and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

Entire Agreement

This Proposal, together with any executed change orders, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modifications must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Independent Contractor: Contractor is an independent contractor and is not an employee, agent, or partner of Client. Neither party may assign this Proposal without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
