What Website Terms and Conditions Cover

Website Terms and Conditions are a contract that defines how visitors, customers, and third parties may interact with a website and its services. They set rules for account creation, permitted use, content ownership, subscription and payment terms, disclaimers and warranties, limitation of liability, termination rights, and dispute resolution. Clear terms also explain how privacy and cookies interact with a separate privacy policy and identify contact information and governing law, helping reduce legal uncertainty across routine site operations and customer transactions.

Why Clear Terms Matter for Your Site

Well-drafted Website Terms and Conditions allocate risk, set user expectations, and support enforcement of contractual promises. They help limit exposure by defining liability caps and disclaimers, identify governing law and venue, and document user consent to electronic records under ESIGN and applicable state law.

Common Mistakes to Avoid When Preparing Terms

  • Using ambiguous language that fails to define key terms and remedies, which can render clauses unenforceable or subject to differing judicial interpretation.
  • Failing to capture affirmative user consent for consumer-facing changes, which undermines reliance on ESIGN and state electronic signature laws.
  • Not aligning notice and update processes with internal operations, causing inconsistent enforcement and potential regulatory exposure.
  • Neglecting to coordinate privacy and cookie provisions, producing conflicts between separate policies and the terms themselves.

Risks and Legal Consequences of Inadequate Terms

Unenforceable Clauses: May be severed by courts
Consumer Claims: Class action or state AG enforcement
Contract Disputes: Exposure to compensatory damages
Regulatory Fines: Privacy/security penalties possible
Business Interruptions: Operational and reputational harm
