RECITALS

1. DEFINITIONS

1.1 "Content" means all materials, data, text, graphics, images, software, audio, and video available on or through the Website, whether provided by Owner or Users. 1.2 "Personal Information" means information about an identifiable individual as further described in the Website's privacy policies and applicable laws.

2. LICENSE GRANT; ACCESS

2.1 Subject to User's compliance with this Agreement, Owner grants User a limited, non-exclusive, non-transferable, revocable right to access and use the Website for User's internal personal or business purposes. Any rights not expressly granted are reserved by Owner.

2.2 Owner may modify, suspend or discontinue the Website or any portion thereof at any time with or without notice when required for maintenance or for security reasons. Owner will use commercially reasonable efforts to provide notice for material, scheduled interruptions to service.

3. USER ACCOUNTS; SECURITY

3.1 If User creates an account, User agrees to (a) provide accurate and complete information in registration, (b) maintain the confidentiality of account credentials, and (c) notify Owner promptly of any unauthorized use. User is responsible for all activity that occurs under User's account.

3.2 Owner may implement account verification, authentication, or other security measures and may disable any account that violates this Agreement or that Owner reasonably believes is compromised.

4. USER OBLIGATIONS; PROHIBITED USES

4.1 User shall not: (a) use the Website for unlawful purposes; (b) impersonate others or provide false information; (c) attempt to gain unauthorized access to Owner systems; (d) reverse engineer, decompile or otherwise attempt to derive the source code of the Website; or (e) post or transmit Content that infringes third-party rights, is obscene, defamatory, or otherwise illegal.

4.2 Owner may, in its sole discretion, remove or disable access to any Content that violates this Section and may terminate or suspend User accounts for violations.

5. INTELLECTUAL PROPERTY

5.1 Title and intellectual property rights in and to the Website, Content provided by Owner, and any related software remain with Owner or Owner's licensors. User is granted no rights except as expressly set forth in this Agreement.

5.2 If User submits suggestions, feedback or other contributions to the Website, User grants Owner a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, distribute and incorporate such feedback into the Website or related products.

6. USER CONTENT AND MODERATION

6.1 User retains ownership of Content submitted by User, subject to the license grant in Section 5.2. User represents and warrants that it has all rights necessary to submit such Content and that such submission does not violate any law or third-party right.

6.2 Owner may monitor, remove or refuse Content in its discretion. Owner is not obligated to host or preserve User Content and may remove Content that violates this Agreement or applicable law.

7. PRIVACY

7.1 Owner's collection and use of Personal Information is governed by Owner's privacy practices. By using the Website, User consents to Owner's collection, use and disclosure of Personal Information in accordance with those practices and applicable law.

8. WARRANTY DISCLAIMER

8.1 EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN AGREEMENT SIGNED BY OWNER, THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

9. LIMITATION OF LIABILITY

9.2 OWNER'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT OF DIRECT DAMAGES PROVED BY USER, PROVIDED THAT IF FEES ARE EXPRESSLY CHARGED FOR THE WEBSITE, OWNER'S LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY USER TO OWNER IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. INDEMNIFICATION

10.1 User agrees to indemnify, defend and hold harmless Owner and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of or related to User's breach of this Agreement, User Content, or User's use of the Website in violation of this Agreement.

11. TERMINATION

11.1 Either party may terminate this Agreement for material breach by the other party if such breach remains uncured thirty (30) days after written notice. Owner may immediately terminate or suspend User's access for violation of this Agreement or for security or legal reasons.

12. NOTICES

12.1 All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below. Notices to Owner:

13. GOVERNING LAW; JURISDICTION
