Recitals

WHEREAS, Client operates a commercial website and desires certain updates, enhancements, maintenance, or content changes as described in this form; and

WHEREAS, Service Provider represents that it has the experience, personnel, and technical ability to perform such website updates in a professional manner consistent with industry standards; and

NOW, THEREFORE, in consideration of the mutual promises set forth below, Client and Service Provider agree as follows.

Scope of Work

Description of requested updates, deliverables, acceptance criteria, and technical requirements. Service Provider shall perform the work described below in a professional manner and deliver the live updates or staging previews as agreed.

Payment Terms

Client shall pay Service Provider in accordance with the fees and schedule set forth below. Invoices shall describe services rendered and any reimbursable expenses. Unless otherwise agreed in writing, all payments are non-refundable.

Term and Termination

This agreement commences on the Start Date and continues until the End Date or until the services described are completed, unless earlier terminated as provided herein.

Either party may terminate this agreement for material breach if the breaching party fails to cure such breach within the notice period above. Termination shall not relieve Client of obligations to pay for services rendered and work in progress through the effective termination date.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other. "Confidential Information" includes nonpublic business information, technical data, client lists, pricing, design files, and any material designated confidential or that reasonably should be understood as confidential. Each party shall (a) use Confidential Information only for the purposes of this agreement; (b) restrict disclosure to employees, contractors, or agents with a need to know and subject to confidentiality obligations at least as protective as this clause; and (c) not disclose Confidential Information to third parties without prior written consent of the disclosing party.

Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

Change Orders and Additional Work

Any changes or additions to the Scope of Work must be agreed in writing as a change order signed by both parties. Additional work will be billed at the agreed hourly or flat rate and is not included in the base fee unless expressly stated.

Warranties and Liability

Service Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH HEREIN, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. In no event shall either party be liable for consequential, incidental, special, or punitive damages arising out of this agreement except to the extent such damages arise from gross negligence or willful misconduct.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected below, without regard to conflict of law principles.

Entire Agreement

This document, including any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations. No amendment shall be effective unless in writing and signed by both parties.

Client Representations

Client represents and warrants that it has the right to authorize the requested changes, that content provided to Service Provider will not infringe third-party rights, and that Client will obtain any necessary permissions for use of third-party materials. Client will provide timely approvals and access to systems as reasonably required for performance.

Acceptance

Deliverables shall be deemed accepted when Client provides written acceptance or fails to provide written objections within five (5) business days after delivery of a staging or live preview. If Client provides reasonable objections, Service Provider will remedy the deficiencies at no additional cost if within the scope; otherwise such work will be treated as a change order.
