WEDDING CEREMONY AGREEMENT

RECITALS

WHEREAS, Officiant is duly authorized and qualified to perform lawful marriage ceremonies and related services in the jurisdiction where the ceremony will occur; and

WHEREAS, Client(s) desire to engage Officiant to perform a wedding ceremony on the Event Date and in accordance with the terms set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to set forth their respective rights and obligations with respect to the wedding ceremony described herein.

SCOPE OF WORK

Services shall include, at a minimum: consultation(s), rehearsal attendance as specified below, officiation of the ceremony, preparation of necessary legal marriage documentation, and filing of the marriage license where required. Any additional ceremonies, readings or travel beyond those described must be agreed in writing and may be subject to additional fees.

PAYMENT TERMS

Late payments shall incur a charge of of the overdue amount per month. If a payment is not received within days after the due date, Officiant may suspend services or terminate this Agreement in accordance with the Termination provision below.

TERM AND TERMINATION

This Agreement commences on and terminates upon completion of the services described herein on unless earlier terminated as provided below.

CONFIDENTIALITY

The parties acknowledge that certain information exchanged in connection with the performance of this Agreement may be confidential. Each party shall keep confidential and shall not disclose to any third party any confidential information of the other party, except as required by law or as necessary to perform the services of this Agreement. Confidential information does not include information that is publicly known through no fault of the receiving party.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall defend, indemnify and hold harmless the other party from and against any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of any breach of this Agreement or the negligent acts or omissions of the indemnifying party. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, OFFICIANT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT(S) TO OFFICIANT UNDER THIS AGREEMENT.

FORCE MAJEURE

Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, government action, natural disaster, labor disputes, or public health emergencies. The affected party shall promptly notify the other and shall use reasonable efforts to resume performance.

PERMISSIONS: AUDIO, PHOTOGRAPHY AND RECORDING

Client(s) authorize Officiant to be recorded and photographed during the ceremony for the purposes of documentation and promotion unless Client(s) indicate otherwise below:

No recording or photography of the Officiant is permitted.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of law principles. Any action to enforce this Agreement shall be brought in the state or federal courts located in the selected jurisdiction.

ENTIRE AGREEMENT

This Agreement, including all attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties intend that no provision of this Agreement shall be construed against the drafting party.
