Either party may terminate this Order for convenience upon days' prior written notice. Termination for cause may occur immediately where the other party materially breaches any obligation and fails to cure within ten (10) days following written notice.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information excludes information that (a) is or becomes generally available to the public other than through breach of this Agreement, (b) was known to the receiving party prior to disclosure, or (c) is rightfully received from a third party without restriction. The receiving party will not use confidential information for any purpose other than performance of this Order and will not disclose it to third parties except as necessary to perform obligations hereunder or as required by law.

Force Majeure

Neither party will be liable for delay or failure to perform to the extent caused by circumstances beyond its reasonable control, including acts of God, government restrictions, labor disputes, pandemics, severe weather, or other impediments. The affected party must provide prompt written notice to the other and will use commercially reasonable efforts to mitigate the delay or failure.

Governing Law

This Order shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for any disputes arising out of or relating to this Order.

Entire Agreement

This Order, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment or modification must be in writing and signed by both parties.
