WEDDING PHOTO RELEASE AND AGREEMENT

This Wedding Photo Release and Agreement (the "Agreement") is entered into by and between Photographer: , with address , and Client: , with address . Effective Date:

RECITALS

WHEREAS, Photographer is engaged in the business of professional photography and will provide photographic services at the wedding and related events described below; and

WHEREAS, Client desires Photographer to photograph the wedding event occurring on at venue ; and

WHEREAS, the parties wish to set forth their understandings regarding the scope of services, payment, ownership and permitted uses of images, confidentiality, and other material terms.

SCOPE OF WORK

Photographer shall provide photographic services as described above on the wedding date, including pre-ceremony, ceremony, and reception coverage as specified. Additional services such as engagement sessions, rehearsal dinner coverage, albums, or prints are not included unless expressly set forth in the Scope of Work.

PAYMENT TERMS

Client shall pay the Total Fee according to the Payment Schedule. All fees not received within the agreed term shall incur the Late Fee specified above. Nonpayment or breach of payment obligations may result in suspension of deliverables until paid in full and may constitute a basis for termination.

DELIVERY, RETENTION, AND STORAGE

Photographer will deliver finalized digital images within weeks after the event, unless delayed by circumstances beyond Photographer's control. Photographer retains original negatives, RAW files, and backup copies. Client is responsible for making copies of delivered files for archival purposes.

GRANT OF RIGHTS, RELEASE, AND LICENSE

1. Copyright Ownership. Photographer shall retain all copyright, moral rights, and other ownership interests in the photographs created under this Agreement, whether in digital or print form.

2. Personal Use License to Client. Upon full payment, Photographer grants Client a limited, non-exclusive, non-transferable license to use the delivered photographs for personal, non-commercial purposes, including personal prints, albums, social media, and sharing with family. Client may not sell or syndicate the images for commercial use without a separate written license.

3. Photographer's Use. Client grants Photographer a perpetual, royalty-free license to use, reproduce, publish, and display images for Photographer's portfolio, marketing, exhibitions, competitions, and other business purposes. Client hereby irrevocably releases Photographer from any claim arising out of such use and waives the right to inspect or approve uses of such images.

4. Model Release. Client, on behalf of themselves and all persons identified in the images, grants Photographer permission to use their likeness in photographs and releases all claims for invasion of privacy, publicity, or defamation arising from such use.

CONFIDENTIALITY

The parties acknowledge that certain information exchanged in connection with the services may be confidential. Each party agrees not to disclose the other's confidential information to any third party, except (a) as required by law, (b) to enforce this Agreement, or (c) with the prior written consent of the disclosing party. Confidential information does not include information that is publicly available or independently developed without use of confidential materials.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues through End Date: , unless earlier terminated as set forth below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Termination does not relieve Client of obligation to pay for services performed prior to termination. Upon termination, Photographer may retain and dispose of files as permitted by law and this Agreement.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Client agrees to indemnify, defend, and hold Photographer harmless from any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement or Client's use of the images beyond the license granted herein. Photographer's liability for any claim arising from this Agreement shall be limited to direct damages not to exceed the amount actually paid by Client to Photographer under this Agreement. In no event shall Photographer be liable for consequential, incidental, or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Photographer may assign to a successor in interest in connection with a sale of substantially all of Photographer's assets.
