WEDDING PLANNING GROUP AGREEMENT

WHEREAS

WHEREAS, Planner/Agency is engaged in the business of providing wedding planning, coordination and related professional services; and

WHEREAS, Clients desire to retain Planner/Agency to provide such services for events, functions, and activities associated with the wedding(s) of the Client Group, and Planner/Agency is willing to provide those services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

1. Scope of Work

Planner/Agency shall provide professional wedding planning and coordination services to the Client Group as described below. Planner/Agency shall act as the primary coordinator for the services expressly listed in this Agreement and shall use reasonable care, skill and industry-standard methods in performing such services.

Services shall include, at minimum, consultation, vendor referrals, schedule creation, rehearsal coordination, on-site day-of coordination, and group logistics for up to participants. Any services beyond the scope described above shall be treated as Additional Services and billed in accordance with Section 2.

2. Payment Terms

Standard payment schedule shall be: Deposit in the amount of due upon execution of this Agreement; Interim payments according to the schedule above; Final balance due no later than .

Any payment not received within days after the due date shall incur a late fee of per month on the outstanding balance, calculated from the date payment was due until paid in full. Client Group shall also be responsible for any collection costs, including reasonable attorneys' fees, incurred by Planner/Agency to collect overdue amounts.

3. Term and Termination

Term of Agreement: Services under this Agreement shall commence on and shall continue through unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. In the event of such termination, Client Group shall pay Planner/Agency for all services performed and committed costs incurred through the effective date of termination, including non‑refundable deposits to third‑party vendors.

Either party may terminate this Agreement immediately for material breach if the breaching party fails to cure the breach within 10 days after receipt of written notice specifying the breach. Termination for cause does not relieve the breaching party of liability for damages caused by the breach.

4. Cancellation and Rescheduling

Cancellation by Client Group within 180 days of the scheduled event shall result in forfeiture of the deposit and may incur additional cancellation fees equal to a percentage of the remaining contract balance as follows: 180–90 days: 25%; 89–30 days: 50%; 29–0 days: 100%. Rescheduling requested by Client Group shall be accommodated where Planner/Agency is available; fees and additional charges for vendor rebooking and administrative costs may apply and are payable by Client Group.

5. Confidentiality

Each party shall treat as confidential all nonpublic information disclosed by the other party in connection with this Agreement, including guest lists, vendor pricing, proprietary planning methods and personal information of group members. Confidential information shall not be disclosed to third parties except as necessary to perform the services or as required by law. This confidentiality obligation shall survive termination of this Agreement for a period of three (3) years.

6. Liability; Indemnification

Planner/Agency shall perform services with reasonable care but is not responsible for the acts or omissions of third‑party vendors or venue operators. Planner/Agency's total liability for any claim arising from or related to this Agreement shall not exceed the total fees paid by the Client Group to Planner/Agency under this Agreement. Client Group shall indemnify and hold harmless Planner/Agency from and against any claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from Client Group's negligence, willful misconduct, breach of this Agreement, or inaccurate information provided to Planner/Agency.

7. Force Majeure

Neither party shall be liable for delay or failure to perform its obligations under this Agreement if such delay or failure is caused by events beyond the reasonable control of the party, including but not limited to acts of God, natural disasters, pandemics, governmental orders, strikes, or supplier failures. The affected party shall promptly notify the other party and shall use reasonable efforts to mitigate the effects of the force majeure event.

8. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement shall first be submitted to nonbinding mediation in the governing state. If mediation does not resolve the dispute, the parties may pursue any available legal or equitable remedies in the courts of proper jurisdiction in the governing state.

9. Entire Agreement; Amendments

This Agreement, including any attachments, exhibits, or work orders signed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. No modification, amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

10. Miscellaneous

Relationship of the Parties: The parties are independent contractors and nothing in this Agreement shall create an employer‑employee, joint venture or agency relationship except as expressly set forth herein. Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Planner/Agency may assign to an affiliated entity or in connection with a sale of substantially all of its business assets.

Acknowledgment

Each signatory below represents and warrants that they are authorized to enter into this Agreement on behalf of the party for whom they sign, and that all information provided to Planner/Agency regarding the Client Group is accurate to the best of their knowledge.
