Scope of Work

The Vendor shall provide the services described below in accordance with the schedule and specifications set forth. The parties acknowledge that this Scope of Work sets forth the core obligations to be performed at the event.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice. Termination by the Client without cause less than days before the Event date may forfeit the deposit as liquidated damages.

Confidentiality

Each party shall hold confidential and not disclose to third parties any proprietary or sensitive information provided by the other party, except as required for performance of the services or as required by law. This obligation survives termination of this Agreement for a period of two years.

Liability and Risk Allocation (Summary)

Vendor shall exercise commercially reasonable care in performing services. Vendor is not responsible for unforeseeable acts of God, venue rules, or other third party failures. Client agrees to indemnify Vendor for claims arising from Client-provided information or third-party vendors except to the extent caused by Vendor's gross negligence or willful misconduct. The parties may set specific insurance requirements in a separate addendum if necessary.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This document, together with any mutually executed addenda or exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral. No modification of this Agreement shall be effective unless in writing and executed by both parties.

Acknowledgment

By signing below, Client acknowledges that the information provided in this questionnaire is accurate to the best of Client's knowledge, and that the Client has read and agrees to the terms and obligations set forth in this Agreement.
