WEDDING RECEPTION AGREEMENT

This Wedding Reception Agreement (the "Agreement") is entered into on by and between Client Name: (hereinafter "Client") and Venue/Provider Name: (hereinafter "Provider").

WHEREAS

WHEREAS, Provider operates and maintains the venue and related services necessary to host wedding receptions and has represented its capability to provide the facilities and services described herein;

WHEREAS, Client desires to retain Provider to host and provide the services for the wedding reception described in this Agreement and Provider agrees to provide such services pursuant to the terms and conditions set forth below.

SCOPE OF WORK

Provider shall furnish the venue, staff, and agreed services for the wedding reception and related functions as described in the Scope of Work. Specific duties, deliverables, and responsibilities are set forth below and in any attachments expressly incorporated herein.

Either party may terminate this Agreement for convenience upon written notice to the other party. Provider may terminate immediately for material breach by Client, including nonpayment.

Cancellation by Client more than prior to the Event Date shall result in a refund of any amounts paid less reasonable administrative costs. Cancellation within 90 days may result in forfeiture of the deposit and additional fees as set forth in Provider's cancellation policy incorporated herein.

CONFIDENTIALITY

Each party agrees to maintain the confidentiality of non-public information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information does not include information that is (a) publicly known without breach of this Agreement, (b) lawfully received from a third party without restriction, or (c) independently developed without use of the other party's Confidential Information. Disclosure required by law or court order is permitted provided the disclosing party uses reasonable efforts to provide prior notice to the other party.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Client shall indemnify and hold harmless Provider, its employees and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of Client's negligence, willful misconduct, or breach of this Agreement. Provider's total liability for any claim arising under this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement, except for liability arising from gross negligence or willful misconduct.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform any obligation under this Agreement if such delay or failure is due to causes beyond its reasonable control, including acts of God, government action, labor disputes, or other unforeseeable events. Affected party shall provide prompt written notice to the other and use commercially reasonable efforts to resume performance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment must be in writing and signed by both parties.
