Wedding Reception Event Plan and Services Agreement

THIS AGREEMENT is entered into between Client Name: and Vendor Name: (each a "Party" and together the "Parties") on the Effective Date set forth below.

WHEREAS

WHEREAS, Client desires to engage Vendor to provide reception services, catering coordination, equipment, staffing, and related services for a wedding reception (the "Event") in accordance with the terms of this Agreement; and

WHEREAS, Vendor represents that it has the experience, personnel, and equipment to perform the services described herein and warrants that such services will be performed professionally and in compliance with applicable laws and venue rules;

WHEREAS, the Parties intend for this Agreement to set forth the full understanding with respect to the Event, including the scope of work, compensation, scheduling, and liability allocation.

Event Details

Scope of Services

The Vendor shall provide services for the Event as described in the Scope of Services below. All services shall be performed in a professional manner consistent with industry standards.

Payment Terms

Client agrees to pay Vendor the total fee and to follow the payment schedule described below. All amounts are in U.S. dollars unless otherwise specified.

Late payments shall incur a late fee of on the outstanding balance, calculated monthly and compounded until paid in full.

Term and Termination

This Agreement commences on Contract Start Date: and terminates on Contract End Date: unless earlier terminated in accordance with this Agreement.

Either Party may terminate for convenience upon written notice delivered at least days prior to the Event. Termination for cause may be immediate for material breach if the breaching Party fails to cure within a reasonable cure period not less than days after written notice.

Cancellation, Refunds and Force Majeure

If Client cancels the Event, refund of payments received will be governed by the following schedule: cancellation more than days before the Event — full refund less non-refundable deposit; cancellation between and days before the Event — 50% refund of amounts paid; cancellation within days — no refund.

Neither Party shall be liable for delays or failures caused by force majeure events including but not limited to acts of God, government restrictions, pandemics, labor strikes, severe weather, or other events beyond the Party's reasonable control. In the event of a force majeure event, the Parties shall promptly meet and confer to propose a mutually acceptable alternative date or arrangement.

Confidentiality

Each Party shall keep confidential all non-public information provided by the other Party in connection with the Event, including guest lists, pricing, proprietary menu formulations, and operational plans ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available other than by breach of this Agreement. Confidential Information shall be used solely for performance of this Agreement and shall not be disclosed to third parties without prior written consent, except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Insurance, Liability and Indemnification

Vendor shall maintain general liability insurance with limits not less than and shall provide certificate of insurance to Client upon request. Vendor shall be liable for loss or damage caused by its negligent acts or omissions. To the maximum extent permitted by law, each Party shall indemnify, defend and hold harmless the other Party from third-party claims arising from the indemnifying Party's negligence, willful misconduct, or breach of this Agreement.

Permits, Venue Rules and Compliance

Vendor shall secure all permits, licenses and approvals necessary to perform its services, and shall comply with all venue rules, fire codes, health regulations and local ordinances. Client is responsible for advising Vendor of any venue-specific rules in writing at least days prior to the Event.

Representations and Warranties

Each Party represents and warrants that it has the full right, power and authority to enter into and perform this Agreement; and that the execution and performance of this Agreement does not violate any other agreement or legal obligation.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties shall attempt in good faith to resolve disputes by negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under the rules of a neutral arbitration forum mutually agreed by the Parties, with the arbitration to be conducted in the county where the Event is held unless otherwise agreed.

Entire Agreement

This Agreement, including all attachments, menus, and specifications referenced herein, constitutes the entire agreement between the Parties concerning the Event and supersedes all prior discussions, proposals, and agreements. Any modification to this Agreement must be in writing and signed by both Parties.
