WEDDING VENUE ROOM BLOCK AGREEMENT

This Wedding Venue Room Block Agreement ("Agreement") is made effective as of by and between Venue Name: , with principal address (hereinafter "Venue"), and Group/Client Name: , representing the wedding event identified below (hereinafter "Client").

RECITALS

WHEREAS, Client is organizing a wedding event (the "Event") to occur on Event Date: at or in association with Venue; and

WHEREAS, Venue agrees to reserve a block of sleeping rooms for Client's guests, subject to the terms and conditions set forth herein, and Client desires to contract for such reserved rooms for the benefit of its guests; and

WHEREAS, the parties intend that this Agreement will govern all room-block reservations, rates, and ancillary services specifically related to the Event.

PAYMENT TERMS

Late payments shall incur a late fee of of the overdue amount per month, or the maximum permitted by applicable law, whichever is less.

ATTRITION, CANCELLATION, AND RELEASE

Client acknowledges that room blocks are subject to attrition and release policies. If actual pick-up is less than the committed number of rooms, Client shall be responsible for attrition charges equal to: of the shortfall, measured against the committed room nights during the room block period.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days' written notice. Notices of termination or other notices required under this Agreement shall be given in writing to the contact information provided below.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party that is marked confidential or that reasonably should be understood to be confidential under the circumstances, including rates, rooming lists, and reservation data. Confidential information shall not include information that is publicly available through no fault of the receiving party or that is independently developed. This obligation shall survive termination of this Agreement for a period of two (2) years.

INSURANCE AND INDEMNITY

Client shall ensure that its organizers and guests maintain adequate insurance for their activities. Each party shall indemnify, defend, and hold harmless the other party from claims, liabilities, losses, and expenses arising out of its negligence or willful misconduct in connection with this Agreement; provided, however, that indemnification shall be subject to applicable law and any limits set forth in Venue's standard policies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard toits conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attachments or written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements. No amendment or waiver shall be effective unless in writing and signed by both parties.
