WEDDING VIDEO AGREEMENT

This Wedding Video Agreement (the Agreement) is entered into on Agreement Date: by and between Client Name: and Videographer Name: .

Recitals

WHEREAS, Client is contracting for video services in connection with the wedding event to be held on Event Date: at Event Location: ; and

WHEREAS, Videographer is a professional provider of wedding videography services and agrees to provide the services described below under the terms and conditions of this Agreement.

Payment Terms

Total Fee: $. A non-refundable deposit of $ is due upon execution of this Agreement to secure the date.

Payments shall be made by methods agreed between the parties. Late payments shall accrue a late fee equal to % of the overdue amount per month, or the maximum permitted by law, whichever is less.

Term and Termination

This Agreement commences on Agreement Date: and continues until completion of the Deliverables and final payment, unless earlier terminated in accordance with this Agreement.

Either party may terminate for material breach if the breaching party fails to cure within Notice Period: days after written notice. If Client cancels less than Cancellation Window: days prior to the event, Client remains liable for the balance as set forth in the Payment Terms.

Confidentiality

Each party shall keep confidential all information reasonably understood to be confidential and obtained from the other party in connection with this Agreement, including unpublished footage, raw files, pricing and internal communications. This obligation does not apply to information that (a) is or becomes public without breach of this Agreement, (b) is lawfully received from a third party without restriction, or (c) is required to be disclosed by law or order of a court or governmental authority, in which case the disclosing party shall provide prompt notice to the other party where permitted.

Intellectual Property and License

Videographer retains all copyright and moral rights in the footage and finished works produced under this Agreement. Upon full payment, Videographer grants Client a perpetual, non-exclusive, non-transferable license to use the final edited Deliverables for personal, non-commercial purposes (including sharing on personal social media accounts). Any commercial use, sale, license, or distribution of the Deliverables requires a separate written license and additional fees.

Delivery; Revisions; Acceptance

Deliverables will be delivered within Delivery Timeline (days): calendar days after the event, subject to timely receipt of final payments. Client shall provide written notice of any requested revisions within Acceptance Period (days): days of delivery; reasonable revision requests shall be completed at no additional charge. Substantial changes beyond the agreed Scope of Work may incur additional fees.

Cancellation, Rescheduling and Force Majeure

Client may reschedule with written notice and subject to Videographer availability. In the event of unforeseen circumstances beyond a party’s control (force majeure), performance deadlines will be extended for the duration of the force majeure event. If event cancellation or rescheduling results in unrecoverable costs to Videographer, Client shall reimburse such reasonable costs as documented by Videographer.

Limitation of Liability; Indemnification

Except for willful misconduct or gross negligence, each party's total liability under this Agreement shall not exceed the Total Fee paid by Client. Client agrees to indemnify, defend and hold harmless Videographer from any third-party claims arising from Client's breach of this Agreement, misuse of Deliverables, or negligence.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to conflict of law principles. This Agreement, together with any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties and supersedes all prior negotiations and understandings. No amendment shall be effective unless in writing and signed by both parties.

Miscellaneous

Notices shall be in writing and delivered to the party addresses provided above. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force. The obligations of confidentiality, indemnification and ownership shall survive termination or expiration of this Agreement.
