WEEDMAN SERVICE AGREEMENT

This Weedman Service Agreement (Agreement) is entered into as of Effective Date: by and between Service Provider Name: and Client Name: .

WHEREAS, Service Provider is engaged in the business of providing weed control, vegetation management, and related lawn-treatment services using industry-standard materials and techniques; and

WHEREAS, Client desires to retain Service Provider to perform weed control services at the Service Location under the terms and conditions set forth in this Agreement.

Scope of Work

Service Provider shall provide the services described below (collectively, Services). Service Provider shall perform Services in a professional and workmanlike manner consistent with industry standards.

Services may include, as applicable: pre-treatment inspection, application of herbicides and/or growth regulators, manual or mechanical removal, follow-up visits, and documentation of treatments. Service Provider shall notify Client in advance of any proposed use of restricted or non-routine chemicals.

Late Payment: Unpaid amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus a late fee of and collection costs. Service Provider reserves the right to suspend Services for accounts more than days past due.

Term and Termination

This Agreement commences on Start Date: and will continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the intended termination date. Either party may terminate for material breach if the breaching party fails to cure such breach within days after written notice.

Confidentiality

Each party shall keep confidential and not disclose to third parties any non-public information obtained from the other party in performance of this Agreement, including pricing, treatment formulas, business practices, and property access details, except as required by law. Confidential information does not include information which (a) is or becomes public through no fault of the receiving party; (b) is rightfully received from a third party without restriction; or (c) is independently developed by the receiving party.

Insurance, Indemnity and Liability

Service Provider shall maintain commercial general liability insurance in amounts customary for the industry. Service Provider agrees to indemnify and hold harmless Client from claims arising from Service Provider's negligent performance, except to the extent caused by Client's negligence or willful misconduct. Client shall indemnify Service Provider for claims arising from Client-supplied materials or Client's failure to disclose site conditions.

Limitation of Liability: Except for willful misconduct or gross negligence, each party's aggregate liability under this Agreement shall not exceed the total amounts actually paid by Client to Service Provider under this Agreement.

Access, Safety and Compliance

Client shall provide reasonable access to the Service Location and identify known hazards. Service Provider shall observe relevant safety practices and applicable law in the application of herbicides and other materials. Client shall remove or secure items that may be affected by treatment; Service Provider is not responsible for damage to items left in treated areas that should reasonably have been removed.

Force Majeure

Neither party shall be liable for delays or failures due to causes beyond its reasonable control, including severe weather, acts of God, strikes, or governmental actions. Time for performance shall be extended for the duration of such events.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of State: . The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be submitted to mediation before resorting to litigation.

Entire Agreement
