WEEKLY BUSINESS COPY

This Weekly Business Copy Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: (Client), and Service Provider Name: (Service Provider). Client and Service Provider are referred to collectively as the Parties.

WHEREAS

WHEREAS, Client requires recurring weekly compilation and distribution of business materials (the Weekly Business Copy) describing defined activities, metrics, and deliverables; and

WHEREAS, Service Provider has the expertise and resources to prepare, compile, and deliver the Weekly Business Copy in accordance with the scope and schedule set forth in this Agreement; and

WHEREAS, the Parties desire to set forth their respective responsibilities, payment terms, confidentiality obligations, and other terms governing their relationship.

SCOPE OF WORK

Weekly deliverables shall include the compilation of activity logs, summarised metrics, annotated highlights of notable transactions or events, and a distribution-ready document delivered to designated recipients on the Reporting Day each week. Reporting Day: . Delivery format and recipients to be specified in the Scope of Work above.

PAYMENT TERMS

All invoices shall include reasonable detail of services rendered. If Client disputes any portion of an invoice in good faith, Client shall notify Service Provider in writing within the Payment Due period and the undisputed portion shall remain payable. Invoices unpaid after the Payment Due period shall incur the Late Fee specified above, and Client shall also be responsible for reasonable collection and legal costs.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in force until End Date: , unless earlier terminated as provided herein.

Either Party may terminate this Agreement for convenience upon providing the Notice Period set forth above. Either Party may terminate immediately for material breach that remains uncured for a period of ten (10) days after written notice of such breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each Party acknowledges that in the course of performance it may receive Confidential Information of the other Party. "Confidential Information" means non‑public information disclosed in written, oral, electronic, or other form that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Each Party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except to employees, agents, or contractors with a need to know who are bound by confidentiality obligations at least as protective as those herein, and (c) not use Confidential Information except to perform under this Agreement. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving Party, is rightfully received from a third party without restriction, or is independently developed without reference to the disclosing Party's Confidential Information.

In the event of a compelled disclosure required by law, the receiving Party shall (to the extent permitted) provide prompt written notice to the disclosing Party and cooperate in any reasonable effort to obtain confidential treatment or a protective order.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and the Scope of Work set forth above, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both Parties.

Relationship of Parties: Service Provider is an independent contractor. Nothing in this Agreement shall be construed to create a joint venture, partnership, employment, or agency relationship between the Parties. Service Provider shall be solely responsible for all taxes and withholdings in connection with payments made hereunder.

Limitation of Liability: Except for willful misconduct or gross negligence, neither Party shall be liable for special, incidental, punitive, or consequential damages. The aggregate liability of either Party for any claim arising out of or related to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the preceding three (3) months.
