WEEKLY SERVICE PCA AGREEMENT

This Weekly Service PCA Agreement ("Agreement") is entered into on by and between:

RECITALS

WHEREAS, Client requires personal care assistance and related support services on a recurring weekly basis; and

WHEREAS, Provider is duly qualified and agrees to provide a Personal Care Aide ("PCA") to perform the services described in this Agreement in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties wish to define the scope, schedule, compensation, confidentiality obligations, and termination rights applicable to the weekly PCA services.

SCOPE OF WORK

Provider shall furnish a qualified Personal Care Aide to perform the following services for Client on a weekly recurring basis. Services shall be performed in a competent, professional manner and consistent with applicable standards of care and any individualized care plan mutually agreed upon by the parties.

PAYMENT TERMS

Client shall compensate Provider as follows:

Payments are due within days of invoice. Late payments shall accrue interest at % per month (or the highest rate permitted by law, if lower) until paid in full.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated pursuant to this section.

Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the intended termination date.

The Agreement may be terminated immediately by either party for cause upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within fourteen (14) days of receipt of written notice specifying the nature of the breach, or immediately where the breach threatens the health or safety of the Client.

CONFIDENTIALITY

Provider shall maintain as confidential all medical, personal, and proprietary information relating to Client obtained in the course of providing services, including but not limited to health records, personal care needs, and living arrangements ("Confidential Information"). Provider shall not disclose Confidential Information except to employees or subcontractors on a need-to-know basis to perform services under this Agreement, or as required by law. Provider agrees to implement reasonable safeguards to prevent unauthorized disclosure.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except as otherwise required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or care plans expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
