What the Well and Pump Installation Agreement Is

A Well and Pump Installation Agreement is a written contract between a property owner and a licensed contractor that defines the work to drill, construct, equip, or repair a water well and install or service pumping equipment. It sets the project scope, site access, permits, inspection responsibilities, payment schedule, change-order procedures, warranty terms, insurance and indemnity allocations, and completion criteria. The agreement also identifies required permits, utility locate obligations, environmental and local code compliance, and any testing or water-quality responsibilities to minimize later disputes and clarify ongoing maintenance duties.

Why a Clear Agreement Matters

A written Well and Pump Installation Agreement reduces ambiguity about responsibilities, timelines, and payment, and provides enforceable rights for both parties. Properly executed, it supports permit applications, documents warranties, and can be enforced under the ESIGN Act (15 U.S.C. ch. 96) and UETA where electronic execution is used.

Why a Clear Agreement Matters

Who Typically Uses This Agreement

The agreement is used by the parties involved in well and pump projects to document obligations and expectations.

  • Homeowners and landowners responsible for on-site water supply and property access.
  • Licensed well contractors and pump installers who perform drilling, installation, or repairs.
  • Property managers and developers coordinating multiple trades, inspections, and permit compliance.

Use clear signatory roles so the contract binds the correct legal parties and supports permitting and inspections.

Core Elements to Include in the Agreement

A professional agreement organizes obligations into clear sections so each party knows deliverables, timing, risks, and remedies.

Scope of Work

Describe drilling depth, casing, grouting, pump model, electrical work, testing procedures, and acceptance criteria in measurable terms to prevent scope disputes.

Permits & Compliance

List required local, county, and state permits, inspection points, and responsibility for permit procurement and associated fees.

Payment Terms

Specify contract price, progress payments or milestones, retainage, acceptable payment methods, and remedies for nonpayment or late payment.

Schedule & Milestones

Include start date, estimated completion, critical-path milestones, delays, force majeure treatment, and procedures for approved schedule changes.

Warranties & Maintenance

State workmanship and equipment warranties, duration, procedure for warranty claims, and obligations for parts, labor, and travel costs.

Liability & Insurance

Allocate risk through indemnity clauses and require contractor insurance limits, workers' compensation, and proof of coverage before mobilization.

Start-of-Work Date:

Typically 'begin within 30 days of signature' or as mutually agreed.

Key Project Milestones

A clear milestone sequence helps coordinate inspections, equipment delivery, and payments.

01

Contract Execution

Agreement signed and initial payment made to authorize mobilization.

02

Permits Obtained

Required permits issued and conditions logged before drilling begins.

03

Drilling & Installation

Well drilled, casing and pump installed per specifications.

04

Final Inspection

Regulatory or owner inspection passed and final payment released.

Common Mistakes to Avoid

  • Vague scope descriptions that fail to define depth, casing, grout, or pump capacity lead to disputes and change-order claims.
  • Assuming permits are handled without specifying the responsible party can cause work stoppages and fines.
  • Neglecting to require proof of licensing, insurance, and workers' compensation exposes owners to liability for on-site injuries.
  • Omitting testing and acceptance criteria for water quality, flow rate, and pump performance often results in contentious warranty claims.

Penalties and Areas of Legal Risk

Contract Disputes: Litigation costs and delay damages
Permit Violations: Administrative fines, stop-work orders
Property Damage: Restoration costs and liability
Health/Safety: OSHA or state citation risk
Insurance Exposure: Claim denials if coverage lapses
Tax Reporting: Incorrect classification may trigger penalties
