What a Wellhead Services Agreement Covers

A Wellhead Services Agreement is a contract that sets terms for services performed on oil and gas wellheads, including maintenance, installation, testing, inspection, and emergency response. It identifies the owner, operator, and service provider; defines scope of work, safety and environmental obligations, insurance and indemnity, compensation and payment terms, scheduling, and acceptance criteria. The agreement allocates risk, specifies regulatory compliance requirements, and sets procedures for change orders and dispute resolution. Parties commonly sign these agreements in writing or electronically using compliant eSignature platforms such as signNow for execution and recordkeeping.

Why a Clear Agreement Matters

A clear Wellhead Services Agreement minimizes operational disruption by defining responsibilities, safety standards, insurance, and payment terms. It reduces disputes, supports regulatory compliance, and accelerates contracting when executed electronically under ESIGN/UETA-compliant platforms such as signNow, preserving enforceability and an audit trail.

Why a Clear Agreement Matters

Who Typically Completes This Agreement

Oil and gas operators, independent service providers, and landowners use Wellhead Services Agreements to set clear obligations, safety, and payment expectations.

  • Operators and lessees — manage third-party work and maintain regulatory compliance.
  • Service contractors — specify scope, safety procedures, compensation, and performance benchmarks.
  • Insurers and lenders — confirm indemnity, insurance limits, and asset protection measures.

Project managers, compliance teams, and legal counsel typically review and approve the agreement before any on-site work begins.

Core Sections to Include in the Agreement

Core sections of a Wellhead Services Agreement define technical, commercial, safety, and legal terms that govern execution, risk allocation, and performance measurement across the project lifecycle.

Scope

Describe specific services, deliverables, equipment supplied, technical specifications, acceptance tests, and measurable completion criteria; reference exhibits or invoices for firm pricing and clarified technical responsibilities.

Safety

Include mandatory safety protocols, PPE requirements, hot-work permits, contractor safety plans, regulatory compliance obligations, incident reporting procedures, and termination rights for unsafe conditions to protect personnel and property.

Insurance

Specify insurance types and limits (general liability, pollution, workers' compensation), additional insured provisions, certificates required, waiver of subrogation, and procedures for providing evidence of coverage before work starts.

Payment

Define rate schedule, invoicing frequency, retainage, milestone payments, progress reporting, payment terms (net days), late fees, and contractual approval requirements for invoice acceptance, withholding, or setoff.

Schedule

Set start and completion dates, mobilization windows, work windows, weather and force majeure provisions, liquidated damages or extension criteria, and notice requirements for schedule delays.

Change Orders

Establish written change order procedures, pricing adjustment methodology, approval chain, time impact analysis, documentation of additional scope, and temporary suspension or termination rights related to scope changes.

Best Practices to Reduce Errors and Delays

Follow these best practices to reduce errors, speed approvals, and maintain an auditable execution trail for Wellhead Services Agreements.

Confirm Legal Entity Names and Signing Authority
Verify each signatory has authority to bind the named legal entity; obtain corporate resolutions or notarized power of attorney when required. Confirm names match tax IDs and insurance certificates to prevent payment delays or insurer coverage disputes.
Attach Detailed Technical Exhibits and Acceptance Criteria
Include technical drawings, SOPs, test methods, and clear acceptance tests with measurable metrics and sign-off procedures. Ambiguous specifications are a primary cause of post-work disputes and change order claims.
Document Insurance Proof and Additional Insured Endorsements
Require current insurance certificates showing required limits, additional insured endorsements, and waiver of subrogation as applicable. Verify policy effective dates cover the work schedule and obtain carrier contact information for claim validation.
Define Dispute Resolution and Change Order Workflows
Spell out notice periods, escalation steps, mediation or arbitration venue, and time-and-material vs fixed-price change order methods. Clear timelines for notices and approvals limit work stoppage and reduce exposure to liquidated damages.
