What a Wellness and Spa Services Agreement Is

A Wellness and Spa Services Agreement defines contractual terms between a spa or wellness provider and a client for treatments, packages, memberships, and related services. It sets the scope of services, pricing, schedules, cancellations, health disclosures, and liability allocations. The agreement typically includes confidentiality, consent for treatment, applicable taxes, and refund policies. Using a clear written agreement reduces misunderstandings about expectations and payment, documents client medical disclosures or contraindications, and creates the basis for remedies if either party fails to meet obligations.

Why a Written Agreement Matters for Spas and Wellness Providers

A Wellness and Spa Services Agreement clarifies payment terms, treatment scope, health disclosures, and cancellation policies to reduce disputes and financial exposure. It documents client consent and sets expectations for both parties, improving enforceability and operational consistency.

Core Clauses to Include in a Professional Agreement

Core clauses that every professional Wellness and Spa Services Agreement should contain to manage services, risk, fees, scheduling, and legal remedies.

Parties

Identify provider legal name, business entity type, license numbers if applicable, and client legal name with contact details. Accurate party identification is essential for enforceability, tax reporting, and any future dispute resolution.

Services

Define treatments, session lengths, frequency, deliverables, and any required pre-visit preparations. Attach service descriptions or exhibits for package deals to avoid scope disputes and mismatched expectations.

Schedule

State appointment booking process, rescheduling rules, notice windows, and no-show policies. Specify time zones, refund triggers, and any late-arrival penalties to limit misunderstandings.

Fees

Detail pricing, deposits, taxes, gratuity policy, accepted payment methods, and consequences of failed payments including late fees or collections. Clarify membership billing cycles and automatic renewals.

Liability

Allocate risk through limitation of liability, indemnification clauses, and insurance requirements for contractors. Exclude liability for preexisting conditions if properly disclosed and consented to by the client.

Cancellation

Provide clear cancellation windows, refund calculations, emergency exceptions, and the process for refunds or credits. Include whether third-party booking fees are refundable.

Common Mistakes to Avoid When Drafting

  • Failing to collect accurate health disclosures increases liability and may require refusing treatment; document all questions and client responses to show due diligence.
  • Using ambiguous service descriptions or vague refund language causes disputes; attach itemized exhibits and examples to clarify deliverables and pricing.
  • Mismatched names, unsigned pages, or missing dates weaken enforceability; verify IDs and require full-page signatures and dates on each execution page.
