What a Wellness Services Agreement covers

A Wellness Services Agreement is a written contract between a wellness provider and a client that sets expectations for services such as coaching, classes, therapy, telehealth, or on-site programs. It defines scope of services, scheduling, fees and payment terms, cancellation and refund policies, confidentiality and data handling, liability releases and indemnities, insurance requirements, and termination clauses. Where protected health information is involved, the agreement should include HIPAA-compliant language and patient consent. Executed copies and an audit trail support enforceability and later dispute resolution.

Why using a written agreement matters

A clear Wellness Services Agreement reduces misunderstandings, documents informed consent, clarifies payment and cancellation terms, and supports regulatory compliance where applicable.

Why using a written agreement matters

Who prepares and signs these agreements

Typical parties involved include providers, facility administrators, corporate buyers, and individual clients — each has distinct needs when completing the agreement.

  • Wellness providers and clinicians who deliver services and require clear scope and reimbursement rules.
  • Facility owners and corporate wellness managers who centralize vendor terms and performance obligations.
  • Individual clients or patients who must provide informed consent and confirm acceptance of policies.

Tailor the document to the signers' roles: providers define deliverables, corporate buyers add procurement terms, and clients confirm consent and liability waivers.

Core clauses to include in a professional agreement

These six elements form the backbone of a Wellness Services Agreement and reduce future disputes when written clearly and consistently.

Scope of Services

Describe specific services, session lengths, delivery method (in-person or virtual), frequency, milestones, and any deliverables to avoid ambiguity about what will be provided.

Fees and Payment

State prices, invoicing cadence, accepted payment methods, late fees, and whether taxes apply. Include refund and prorating rules for cancellations.

Confidentiality

Define how client data and session notes are protected; when PHI is involved include HIPAA safeguards and a BAA where applicable.

Liability and Releases

Allocate risk with liability caps, indemnities, and clear participant waivers for fitness or experiential activities; ensure language complies with local consumer-protection rules.

Termination and Cancellation

Specify notice periods, grounds for termination, final accounting procedures, and how prepaid fees are handled on early termination.

Governing Law and Dispute Resolution

Identify the governing state law, jurisdiction for disputes, and any required mediation or arbitration procedures to control litigation risk.

Technology and format considerations

Choose a platform that supports common file types, audit logs, and the authentication level your workflow requires.

Consequences of an incorrect or incomplete agreement

Invalid Signature: May void agreement
HIPAA Violation: Civil fines and corrective action
Breach Claims: Damages and legal costs
Tax Issues: Reporting errors and penalties
Notary Defect: Questioned authenticity
Refund Disputes: Customer complaints and chargebacks

Common preparation mistakes to avoid

  • Using vague scope language that leaves deliverables open to differing interpretation and later dispute.
  • Failing to include explicit HIPAA consent and a BAA when protected health information will be created or exchanged.
  • Missing or mismatched signer names, incorrect dates, and inconsistent fee schedules that delay enforcement or trigger refunds.
  • Assuming verbal consent suffices; lacking a signed record or reliable audit trail increases litigation risk.
