Payment is due in accordance with the Due Date stated above. Unless otherwise agreed in writing, payments not received by the Due Date shall incur a late charge equal to the greater of a flat fee of or interest at % per month on the unpaid balance until paid in full.

Retention of Title: Title to goods sold remains with the Issuer until full payment is received. Issuer reserves the right to reclaim goods and offset unpaid balances against any returned property.

Remedies and Collection: In the event of non-payment, Issuer may suspend performance, accelerate payment obligations, and pursue all available remedies. Buyer shall be liable for reasonable collection costs, including attorneys' fees and court costs.

Limitation of Liability: Except for willful misconduct or gross negligence, Issuer's liability arising out of or related to this invoice shall be limited to the amount actually paid for the invoiced goods or services.
