What the Wharfage Contract Agreement Covers

A Wharfage Contract Agreement is a written contract between a port or dock operator and a vessel owner, carrier, or cargo owner that sets the terms for moving, storing, and handling goods at a wharf. It defines wharfage fees, loading and unloading responsibilities, timing for delivery and pickup, liability allocation for loss or damage, insurance requirements, and any storage or demurrage charges. The agreement also clarifies who bears costs for stevedoring, customs clearance, and incidental services. When executed electronically, the agreement should meet U.S. e-signature legal standards so it is enforceable.

Why a Clear Wharfage Agreement Matters

A clear Wharfage Contract Agreement reduces disputes by documenting fees, performance windows, and risk allocation. It protects port operators and shippers by defining responsibilities, insurance minimums, and cleanup or damage obligations. Properly executed electronic versions comply with U.S. e-signature law when they capture signer intent, consent, attribution, and retention.

Why a Clear Wharfage Agreement Matters

Who Typically Uses a Wharfage Contract Agreement

These agreements are used by parties involved in maritime cargo handling and port operations.

  • Port operators and terminal managers who set wharfage rates and operational rules for dock use.
  • Shipping companies and vessel agents arranging cargo delivery, pickup, and liability coverage for goods.
  • Freight forwarders and stevedores coordinating loading, unloading, and short-term storage at the wharf.

Each party should ensure its role, contact details, and authority are clearly listed before signing.

Common Signers and Their Roles

Port Operator

Harbormasters or terminal managers sign on behalf of the port to accept contractual responsibility for dock services, fee schedules, and on-site safety rules. Their signature binds the operator to service levels and insurance obligations described in the agreement.

Shipowner / Agent

The vessel owner or authorized agent signs to confirm acceptance of wharfage charges, cargo handling responsibilities, and indemnity obligations. The signer must have authority to agree to payment, hold harmless, and claims procedures on behalf of the carrier.

Core Elements to Include in the Agreement

A professional Wharfage Contract Agreement is structured, unambiguous, and includes operational and legal provisions so both parties know expectations and remedies.

Parties

Full legal names and contact information for port operator, vessel owner, carrier, and any third-party handlers; identify authorized signatories and their capacity to bind each party.

Wharfage Rate

Specify fee structure by cargo type or weight, billing intervals, payment terms, late fees, and acceptable payment methods to avoid disputes over charges.

Term & Delivery

Define effective date, term, delivery windows, staging and pickup procedures, and the process for scheduling or postponing berth use.

Liability & Indemnity

Allocate responsibility for loss, damage, pollution, and third-party claims; include indemnity language and any limits or caps on liability.

Insurance Requirements

List minimum insurance coverages and certificates to be provided, additional insured endorsements, and notice requirements for policy changes or cancellations.

Dispute Resolution

Choose governing law, venue or arbitration, notice periods for claims, and deadlines for presenting damage or shortage claims to preserve rights.

Step-by-Step: Completing the Agreement

Follow a standard sequence to prepare, review, and finalize the Wharfage Contract Agreement to ensure clarity and enforceability.

  • 01
Prepare Documents: Gather vessel and cargo identifiers and insurance certificates.
  • 02
Identify Parties: Confirm legal names and authorized signers.
  • 03
Specify Fees: Enter exact rates, payment schedule, and due dates.
  • 04
Execute & Record: All authorized parties sign and retain copies.

Typical Digital Execution Workflow

An electronic workflow reduces turnaround time and creates an auditable trail; follow these common digital steps for e-signature completion.

  • Upload Document: Import PDF or DOCX file to the signing system.
  • Add Fields: Place name, date, signature, and initial fields.
  • Send to Signers: Email or share a secure signing link to parties.
  • Archive Signed Copy: Capture certificate of completion and save PDF.

Digital Workflow Settings to Configure

Configure these key settings when preparing an electronic signing workflow for a Wharfage Contract Agreement.

Field Configuration
Authentication Method Email link, SMS code, or stronger ID verification
Signing Order Sequential or parallel signer routing
Retention Policy Automatic archival duration and export options
Notification Settings Reminders and completion alerts to parties

Technical and Integration Considerations

Choose a digital signing platform that supports PDF and DOCX formats, audit trails, and appropriate authentication for maritime contracts.

  • File Formats: PDF, DOCX, and searchable archives
  • Integrations: ERP, CRM, and cloud storage connectors
  • Security: TLS in transit; AES-256 at rest

Common Preparation Mistakes to Avoid

  • Omitting full vessel or bill of lading references, which makes contract enforcement and claims tracing difficult.
  • Using ambiguous fee language such as 'reasonable charge' instead of stating exact rates, units of measure, and currency.
  • Failing to list authorized signatories with title and capacity, risking signature disputes and rejected contracts.
  • Neglecting insurance endorsements or minimums, leaving parties exposed to uncovered loss or third-party claims.

Consequences of Errors or Missing Elements

Late Payment: Interest or lien remedies
Incorrect Party: Contract may be unenforceable
Missing Signature: Agreement not fully executed
No Insurance: Greater exposure for loss
Improper Notice: Claims may be barred
Data Errors: Operational delays and increased costs

Key Dates and Typical Deadlines

Track critical dates tied to service performance, payment, and claims to maintain contract compliance and preserve rights.

Effective Date Entry:

Enter contract start date in MM/DD/YYYY to begin obligations.

Payment Due Date:

Specify net terms and late fee trigger dates.

Cargo Arrival Window:

Define berth arrival and laytime start times.

Notice of Claim:

State number of days to report damage or shortage.

Document Retention:

Define how long signed copies are kept and where.

Key Contract Lifecycle Milestones

Track milestones from negotiation to closeout to keep operations aligned and evidence preserved for claims or audits.

01

Negotiation

Finalize rates, service scope, and insurance requirements.

02

Execution

All authorized signers sign and date the agreement.

03

Operational performance and cargo handling occur.

04

Closeout

Reconcile charges, releases, and return documentation.
