RECITALS

WHEREAS, the Whistleblower believes that certain actions, omissions, or practices may constitute violations of applicable law, regulation, internal policy, or present substantial risks to the Recipient or its stakeholders; and

WHEREAS, the Recipient has established procedures to receive, investigate, and remediate credible disclosures of wrongdoing and to protect persons making such disclosures from retaliation; and

WHEREAS, the Whistleblower wishes to provide information and submit to the Recipient for investigation under the terms and conditions set forth in this Declaration.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Definitions

In this Declaration: (a) "Protected Disclosure" means any good faith report by the Whistleblower of conduct that the Whistleblower reasonably believes to be unlawful, fraudulent, corrupt, unsafe, or a breach of material policy; (b) "Retaliation" means any adverse employment or contractual action taken because of a Protected Disclosure; and (c) "Investigation" means Recipient's documented fact-finding process concerning a Protected Disclosure.

2. Scope of Disclosure

The Whistleblower submits the following disclosure, which is intended to be a Protected Disclosure under this Declaration. The disclosure concerns alleged misconduct, including date(s) of incident(s) set forth below.

Date of Incident: Month Day Year

3. Reporting Preferences and Privacy

The Whistleblower indicates preferences regarding identity disclosure and contact:

The Whistleblower requests to remain anonymous to the extent permitted by law.

The Whistleblower consents to be contacted by Recipient for follow-up or clarification of the disclosure.

The Whistleblower consents that the Recipient may disclose the Whistleblower's identity where required by law, court order, or where necessary to conduct a full investigation and protect legal rights.

4. Confidentiality and Data Handling

Recipient shall maintain reasonable confidentiality with respect to the identity of the Whistleblower and the subject matter of a Protected Disclosure, disclosing identifying information only on a need-to-know basis to investigators, legal counsel, regulatory authorities, or as required by law. Recipient shall implement and maintain administrative, technical, and physical safeguards to protect disclosure records from unauthorized access.

5. Non-Retaliation

Recipient expressly prohibits Retaliation against the Whistleblower for making a Protected Disclosure in good faith. Retaliation shall be grounds for corrective action, up to and including termination of employment or contractual relationships, and any other remedies available under law. Any claim of retaliation must be reported promptly and will be investigated in accordance with Recipient policy.

6. Investigation Process

Upon receipt of a disclosure that appears to constitute a Protected Disclosure, Recipient will initiate a documented Investigation. The Investigation will be conducted impartially and may include interviews, review of documents, and collection of evidence. Recipient will endeavor to conclude the Investigation within a reasonable period and will report findings and remedial actions as appropriate and permitted by law.

7. Cooperation

The Whistleblower agrees to cooperate fully and to provide truthful information, documentation, and testimony in connection with the Investigation. The Whistleblower acknowledges that failure to cooperate, provision of knowingly false information, or deliberate omission of material facts may affect eligibility for protections under this Declaration and may subject the Whistleblower to disciplinary action.

8. False Reports

A report made with knowledge that the information is false, or with reckless disregard for the truth, is not a Protected Disclosure. The Whistleblower understands that knowingly making false statements may result in disciplinary measures and legal liability.

9. Records Retention

Records relating to a Protected Disclosure and subsequent Investigation will be retained in accordance with Recipient's document retention policy and applicable law. Access to such records will be limited to authorized personnel.

10. Notices

All formal notices under this Declaration shall be in writing and delivered by hand, courier, or certified mail to the addresses below or to such other address as a party designates by notice in accordance with this section.

11. Amendments, Waiver, Counterparts

This Declaration may be amended only by a written instrument executed by both parties. No waiver of any provision of this Declaration shall be effective unless in writing and signed by the party waiving compliance. This Declaration may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. Governing Law; Entire Agreement; Severability

Governing Law: This Declaration shall be governed by and construed in accordance with the substantive laws of the jurisdiction specified by the Recipient's internal policies or, if none specified, by the laws of the jurisdiction where the Recipient maintains its principal place of business. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes that may arise under this Declaration.

Entire Agreement: This Declaration constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, regarding the same.

Severability: If any provision of this Declaration is held to be invalid, illegal, or unenforceable in any respect, the remainder of the Declaration shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that most nearly effectuates the original intent.

13. Certification

By signing below, the Whistleblower certifies that the information provided in this Declaration is true and correct to the best of the Whistleblower's knowledge and belief, made in good faith, and not for the purpose of personal gain by falsehood. The Whistleblower acknowledges that the Recipient will rely on this Declaration in initiating any Investigation and in taking any subsequent action.

What a Whistle Blowing Declaration Form Is

A Whistle Blowing Declaration Form is a written statement used to report suspected wrongdoing, violations of law, policy breaches, or safety concerns to an employer, regulator, or designated compliance office. The form records who is reporting, the date, a factual description of the alleged conduct, any supporting evidence or witnesses, and the reporter's desired level of confidentiality. Organizations use the form to standardize intake, preserve an audit trail, and trigger a defined investigation process while protecting both reporter and subject rights.

Why this Form Matters for Compliance and Accountability

A clear declaration form promotes consistent reporting, preserves facts, and supports timely investigation. It helps organizations meet internal policy, regulatory expectations, and legal protections for reporters while creating an evidentiary record that can be retained and produced if needed.

Why this Form Matters for Compliance and Accountability

Who Typically Completes or Receives This Form

This form is completed by employees, contractors, vendors, or third parties reporting suspected misconduct; it is received by compliance, legal, HR, or an independent hotline administrator.

  • Internal employees and contractors who observe policy violations, safety risks, or fraud.
  • Third parties and vendors reporting contract breaches or corrupt practices.
  • Compliance officers, legal counsel, or external hotline providers who intake and triage reports.

Use pre-defined routing rules to ensure privileged reports reach appropriate reviewers while protecting anonymity and chain-of-custody for supporting evidence.

Key Roles That Sign or Manage the Form

Compliance Officer

A compliance officer receives and triages declarations, assigns investigations, and documents disposition. They coordinate with legal, HR, and external counsel to preserve privilege and apply remedial actions while maintaining confidentiality safeguards.

Reporter Name: Optional or required
Contact Info: Phone and email
Incident Date: MM/DD/YYYY
Description: Chronological facts
Attachments: Document references
Routing: Designated recipient

Legal Risks and Consequences of Inaccurate Declarations

Common Mistakes to Avoid When Preparing the Form

  • Leaving out precise dates or locations that investigators need to corroborate claims makes follow-up time-consuming and may delay resolution.
  • Using speculative language or conclusions instead of observable facts reduces the form's usefulness and may expose the reporter to credibility challenges.
  • Failing to attach or label supporting documents results in evidence gaps and increases the likelihood of incomplete investigations or incorrect findings.
  • Not stating confidentiality preferences or misunderstanding their limits can lead to unintended disclosures and erosion of trust in the process.

Illustrative Use Cases and Practical Outcomes

These condensed examples show how standardized declarations support investigations and remediation across common scenarios.
