WHOLE HOUSE MISCELLANEOUS AGREEMENT

Recitals

WHEREAS, Service Provider is duly qualified and experienced in performing whole-house miscellaneous construction, repair, maintenance, and related services (the "Services") at residential properties; and

WHEREAS, Client is the owner or authorized representative of the property located at (the "Property") and desires to engage Service Provider to perform the Services described below; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will perform such Services.

Scope of Work

Work shall include all labor, materials, tools, equipment, supervision, permits and inspections reasonably required to complete the described Services in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

Service Provider will submit invoices in accordance with the Payment Schedule. Client shall remit payment within days of receipt of an undisputed invoice. Past due amounts shall incur a late fee of on the unpaid balance, or the maximum permitted by law, whichever is less.

All sums are payable in lawful currency. Unless otherwise stated, the Total Contract Amount includes labor and materials but excludes applicable sales and use taxes, which are the responsibility of Client unless exempt and documented in writing.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after receipt of written notice describing the breach.

Upon termination, Client shall pay Service Provider for all Services performed and costs reasonably incurred through the effective date of termination, including any non-cancellable obligations and materials ordered.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is marked confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that (a) is or becomes generally available to the public other than as a result of a breach of this Agreement, (b) was already known by the receiving party without restriction prior to disclosure, (c) is rightfully received from a third party without restriction, or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

A receiving party may disclose Confidential Information to its employees, agents, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

Representations, Warranties and Indemnity

Service Provider represents that it will perform the Services in a competent, professional and workmanlike manner consistent with industry standards. Service Provider shall comply with all applicable laws, codes, regulations and permit requirements. Service Provider shall maintain appropriate insurance coverage and shall provide certificates of insurance on request.

Each party shall indemnify and hold harmless the other party from and against any claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of the negligent acts, willful misconduct or material breach of this Agreement by the indemnifying party, except to the extent caused by the indemnified party's negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Venue for any litigation arising out of this Agreement shall be in the state or federal courts located in that state.

Entire Agreement; Amendments

This Agreement, including any exhibits, attachments, and written change orders signed by the parties, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign receivables to a financing institution.
