What a Wholesale Agreement Is and when it applies

A Wholesale Agreement is a contract between a supplier and a reseller that sets pricing, minimum order quantities, delivery terms, payment schedules, warranty and returns procedures, and any exclusivity or territorial limits. It governs ongoing commercial supply relationships rather than single sales, and it can control product specifications, inspection rights, and dispute resolution. The agreement is commonly used by manufacturers, distributors, and wholesalers to reduce uncertainty, allocate risk, and document performance obligations in multi-shipment or ongoing supply arrangements.

Why a clear Wholesale Agreement matters for risk and performance

A well-drafted Wholesale Agreement clarifies obligations, limits disputes, and preserves margin by specifying pricing, delivery, inspection, and payment terms. It supports enforceability under the ESIGN Act and UETA when executed electronically, helps manage tax and compliance exposure, and provides an auditable record for inventory planning and financial reconciliation.

Why a clear Wholesale Agreement matters for risk and performance

Who commonly prepares and signs Wholesale Agreements

These agreements often involve cross-functional reviewers — sales, finance, compliance, and legal — before final signature.

  • Manufacturer procurement and sales teams negotiating distributor pricing and minimum orders.
  • Wholesale distributors that resell goods to retailers or regional resellers under volume commitments.
  • Corporate purchasing teams that standardize supplier terms for multiple buying locations.

Who may sign on behalf of each party

Supplier Signatory

An authorized corporate officer or an agent with written authority should sign. Ensure the signer has board- or manager-level authority where required to bind the entity and meet internal delegations of authority.

Reseller Signatory

A purchasing manager, CEO, or authorized agent may sign for the reseller. Verify corporate resolution or purchasing authority to avoid later claims the signature lacked authority.

Core clauses to include in a professional Wholesale Agreement

Include clauses that allocate risk, set performance standards, and define commercial mechanics to reduce ambiguity and enable enforcement.

Price and Payment

Specify unit pricing, discounts, payment terms, late fees, currency, and invoicing procedures with examples of accepted payment methods.

Minimum Orders

State minimum quantities, reorder intervals, and consequences for failing to meet minimums, including repricing or termination rights.

Delivery and Title

Define Incoterms or delivery point, freight responsibility, risk of loss, inspection windows, and title transfer events.

Warranty and Returns

List product warranties, remedies for defects, time limits for claims, and procedures for returns, credit, or replacement.

Termination and Remedies

Describe termination for cause/for convenience, cure periods, liquidated damages if appropriate, and dispute resolution methods.

Confidentiality and IP

Protect trade secrets, specify permitted use of trademarks, and include carve-outs for compliance or required disclosures.

Common mistakes to avoid when preparing a Wholesale Agreement

  • Using vague pricing language that leaves discount triggers and recalculation methods undefined, causing disputes during invoicing and reconciliation.
  • Failing to specify delivery terms and transfer of title, which can shift loss risk and lead to liability disagreements after shipment.
  • Omitting inspection and rejection procedures or deadlines, which can prevent timely claims for nonconforming goods and impair remedies.
  • Not verifying signer authority or corporate approvals, resulting in later challenges to enforceability and potential rescission claims.

Penalties and legal risks from errors or omissions

Contract Voidance: Enforceability risk
Tax Exposure: Incorrect reporting
Supply Disruption: Fulfillment failures
Liability Claims: Warranty disputes
Late Payment Penalties: Interest and fees
