What a Wholesale Real Estate Agreement Is

A Wholesale Real Estate Agreement is a contract used by a wholesaler to secure the right to purchase a property and then assign or resell that contract to an end buyer. It documents the parties, property description, purchase price, assignment mechanics, and any assignment fee. The agreement establishes timing, contingencies (inspection, financing), and closing responsibilities while preserving the wholesaler’s ability to transfer contract rights to an investor or cash buyer.

Why a Clear Wholesale Agreement Matters

A properly drafted Wholesale Real Estate Agreement clarifies obligations, protects deposit and assignment fees, and reduces title and closing delays. It sets expectations for contingencies and transfer mechanics, which helps avoid disputes and streamlines transactions between seller, wholesaler, and end buyer.

Why a Clear Wholesale Agreement Matters

Who Typically Uses a Wholesale Real Estate Agreement

Typical participants in a wholesale transaction and their primary roles.

  • Real estate wholesalers and bird-dog investors sourcing off-market deals for assignment.
  • Cash buyers and real estate investors who close quickly and pay assignment fees.
  • Title companies, closing attorneys, and escrow agents handling recordation and clearing title.

The agreement is useful for sellers who prefer contract-level transfers and professionals who facilitate assignment closings.

Step-by-step: Completing a Wholesale Real Estate Agreement

Follow these sequential steps to complete the agreement accurately and reduce closing friction.

  • 01
Identify parties: Enter full legal names and entity types exactly as on ID or formation documents.

Describe property: Use full address, legal description, or parcel number to avoid ambiguity.
  • 03
Set dates and price: Specify effective date, closing date, purchase price, and any assignment fee.
  • 04
Add contingencies: Include inspection, title, and financing contingencies with clear cure windows.

Use precise legal descriptions
Include parcel ID and municipal details, not only street address, to prevent recording discrepancies and title examiner questions.
Obtain written seller consent when needed
If the original contract restricts assignment, secure a signed consent or negotiated amendment before presenting to an end buyer.
Collect payer tax forms early
Request a completed W-9 from payees to avoid backup withholding and to simplify year-end reporting.
Use standardized templates and checklists
Maintain a template with required exhibits, signature blocks, and a pre-signing checklist to reduce ad hoc edits and omissions.
