Wind Farm Project Agreement

This Wind Farm Project Agreement (the Agreement) is entered into as of between:

WHEREAS

WHEREAS, Client intends to develop, construct and operate a wind energy generation facility located at (the Project); and

WHEREAS, Contractor represents that it has the personnel, experience, equipment and financial capacity to perform the engineering, procurement, construction and commissioning services described in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the design, procurement, installation, testing and commissioning of the Project on the terms and conditions set forth herein.

Scope of Work

Contractor shall perform, and Client shall procure, the work necessary for the development, construction and commissioning of the Project. The Scope of Work shall include, at a minimum, all engineering, procurement, construction, erection, electrical interconnection, testing, commissioning and initial operations support for the wind turbine generators, foundations, access roads, transmission tie-in, control systems and related balance of plant.

Payment Terms

The compensation for the Scope of Work shall consist of a fixed contract price, payment schedule tied to milestones, and terms for invoicing, retainage and interest on late payments as follows.

Term and Termination

This Agreement shall commence on the Commencement Date and shall continue until Completion Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Termination for convenience by Client requires payment for work performed, reasonable demobilization costs, and any committed third-party costs.

Confidentiality

Each party (the Recipient) shall keep confidential all Proprietary Information disclosed by the other party (the Discloser) in connection with the Project and shall not use such Proprietary Information except to perform its obligations under this Agreement. Proprietary Information includes technical data, drawings, cost data, commercial terms and non-public financial information.

Confidentiality obligations shall not apply to information that (a) is or becomes generally available to the public other than by breach of this Agreement, (b) is rightfully received from a third party without restriction, (c) is independently developed without use of the Discloser's information, or (d) is required to be disclosed by law or regulation subject to provision of prompt notice to the Discloser.

Insurance, Bonds and Performance Security

Contractor shall, at its own expense, maintain insurance coverages customary for projects of this nature, including commercial general liability, automobile liability, worker's compensation, employer's liability and builder's risk as applicable. Limits, additional insured status and certificates shall be provided to Client prior to commencement of on-site work.

Responsibility for securing permits, interconnection agreements and regulatory approvals shall be allocated as follows. The identified responsible party shall pursue required permits in good faith and cooperate with the other party in securing timely approvals.

Change Orders

Any change to the Scope of Work shall be documented in a written change order signed by authorized representatives of both parties. Change orders shall set forth changes to the scope, any resulting adjustments to the contract price and any impact on the schedule.

Warranties and Performance

Contractor warrants that equipment supplied shall be free from defects in materials and workmanship for the warranty period specified by the original equipment manufacturers and for additional workmanship warranty of for Contractor workmanship following Final Acceptance. Remedies for breach of warranty shall include repair or replacement at Contractor's expense.

Limitation of Liability

Except for willful misconduct or gross negligence, the liability of each party to the other for any claim arising out of or relating to this Agreement shall be limited to direct damages and shall not exceed the greater of (a) the contract price, or (b) the amount of insurance proceeds actually paid to the claimant. Neither party shall be liable for consequential, incidental or punitive damages.

Dispute Resolution

The parties shall attempt in good faith to resolve disputes arising under this Agreement by negotiations between senior representatives. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered in accordance with the agreement of the parties and the award may be entered in any court of competent jurisdiction.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including all Schedules, Exhibits and written change orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other party. Notices shall be effective upon receipt.
