Window Installation Contract

Recitals

WHEREAS, Client owns or controls the real property located at (the "Site"); and

WHEREAS, Contractor is duly qualified and experienced in the supply and installation of windows and related work and holds applicable insurance and licenses; and

WHEREAS, Client desires to engage Contractor to furnish materials and perform installation services for replacement or new windows at the Site pursuant to the terms set forth in this Contract.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. Definitions

1.1 "Work" means all labor, materials, equipment, supervision and services necessary to complete the window installation described in Section 2. 1.2 "Substantial Completion" means the Work has progressed to the point where, in the Contractor's professional judgment and subject to Client's reasonable inspection, the Work is sufficiently complete so the Client can occupy or use the Site for its intended purpose, notwithstanding minor items or punchlist items.

2. Scope of Work

Contractor shall furnish all labor, materials, tools, equipment and supervision and shall perform the Work described in the Project Description below at the Site. The Work includes removal of existing windows (if applicable), preparation of openings, flashing, installation of new windows and trim, sealing, cleanup and final inspection.

3. Materials and Specifications

Contractor shall provide materials conforming to industry standards and as specified in the table below. All materials shall be new unless otherwise agreed in writing. Manufacturer warranties applicable to materials shall be assigned to Client to the extent assignable.

4. Contract Price and Payment

Client shall pay Contractor the total contract price of $ (the "Contract Price") in accordance with the payment schedule set forth below. All amounts are stated in lawful currency and exclusive of sales, use or other taxes unless specified.

Client shall make payment within days of invoice unless otherwise agreed in writing. Late payments shall accrue interest at the rate of .

5. Change Orders

Any change in the Work, Contract Price, or Schedule shall be made only by a written change order signed by both parties. Contractor shall provide a written proposal describing any change, the cost adjustment and any extension of time. No work subject to a change order shall proceed until the change order is executed.

9. Warranties

Contractor warrants that the Work will be performed in a good and workmanlike manner for a period of from Substantial Completion, subject to normal wear and tear, misuse, and alterations by others. Manufacturer warranties for materials, if any, shall be passed through to Client where assignable.

10. Insurance and Indemnity

Contractor shall maintain commercial general liability and workers' compensation insurance with limits appropriate to the Work. Contractor shall indemnify and hold harmless Client from claims, damages or losses to the extent caused by Contractor's negligence or willful misconduct, except to the extent arising from Client's negligence.

11. Limitation of Liability

Except for indemnification obligations and willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Contractor's aggregate liability arising out of or relating to this Contract shall not exceed the Contract Price.

12. Termination

Either party may terminate this Contract upon material breach by the other if such breach remains uncured for following written notice. Client may terminate for convenience upon written notice and payment for Work performed and materials procured up to the date of termination, including reasonable demobilization costs.

13. Notices

All notices under this Contract shall be in writing and delivered to the addresses below by personal delivery, certified mail (return receipt requested), or nationally recognized overnight carrier, and shall be effective upon receipt.

14. Amendments; Waiver; Counterparts

This Contract may be amended only by a written instrument signed by both parties. Failure by either party to enforce any provision shall not be construed as a waiver of that provision. This Contract may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

15. Governing Law; Entire Agreement; Severability

This Contract shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. This Contract, together with any attached exhibits and executed change orders, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
