Evaluator shall perform services using commercially reasonable skill and care consistent with industry standards. Evaluator's obligations are limited to the Scope of Work and the tests documented herein. Evaluator does not warrant long‑term performance beyond the conditions observed at the time of inspection. Client acknowledges that field conditions, subsequent alterations, or latent defects may affect future performance.

Limitation of Liability: Evaluator's aggregate liability for claims arising from or related to this evaluation, whether in contract, tort, or otherwise, shall not exceed the fees paid to Evaluator under this Agreement. In no event shall Evaluator be liable for consequential, incidental, or punitive damages.

Invoices are due per the Payment Schedule. Failure to timely pay may result in suspension of services and accrual of the Late Fee. Client shall be responsible for reasonable collection costs and attorneys' fees incurred by Evaluator to enforce payment.

Either party may terminate this Agreement for material breach if such breach remains uncured thirty (30) days after written notice. Termination for convenience by Client requires payment for services performed through the effective date of termination and reasonable demobilization costs.

CONFIDENTIALITY

The parties shall keep as confidential all non‑public technical, financial and business information disclosed in connection with this evaluation. Confidential information does not include information that is or becomes publicly known other than by breach of this Agreement, or is required to be disclosed by law or regulation. Receiving party shall use the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but not less than reasonable care.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified by the Client below, without regard to conflict of law principles.

ENTIRE AGREEMENT

This document, including any attachments and referenced test protocols, constitutes the entire agreement between Client and Evaluator with respect to the subject matter hereof and supersedes all prior negotiations, proposals, representations, or agreements, whether written or oral. Any modification must be made in writing and signed by both parties.

CERTIFICATION

Evaluator certifies that the tests and observations reported herein were performed by personnel qualified for the procedures described and that the results reflect conditions observed at the time of the evaluation. Client acknowledges that acceptance of the report constitutes agreement to the Scope of Work and limitations set forth in this Agreement.
