WINDOW SERVICE CONTRACT PACKET

Recitals

WHEREAS Client desires to obtain window servicing, repair, and related work for the premises identified above; and

WHEREAS Contractor represents that it possesses the experience, personnel, equipment, licensing, and insurance necessary to perform the services described in this Contract in a workmanlike and professional manner; and

WHEREAS the parties desire to set forth the terms and conditions under which Contractor will perform window services and Client will pay Contractor.

Scope of Work

The Contractor shall perform the services, labor and provide materials as described below. Any deviation from the following scope shall require a written Change Order signed by both parties.

Materials, Labor and Pricing

Client agrees to pay Contractor for labor, materials, equipment and services performed as follows.

Late payments shall incur a late fee of on the outstanding balance, compounded monthly, plus reasonable collection costs.

Term and Termination

This Contract shall commence on and is estimated to be completed by .

Either party may terminate this Contract for cause upon written notice if the other party materially breaches any provision and fails to cure within days after receipt of written notice. Client may terminate for convenience upon days' notice, subject to payment for services performed and materials purchased through the effective date of termination.

Change Orders

Any alteration to the Scope of Work, schedule or price shall be by written Change Order signed by authorized representatives of both parties. Contractor is not required to perform any work outside the agreed scope without a signed Change Order.

Warranties and Remedies

Contractor warrants that work performed under this Contract will be free from defects in workmanship for a period of months from completion. Manufacturer warranties for materials shall be passed through to Client to the extent assignable. This warranty excludes damage from abuse, improper maintenance, acts of God, or modifications not executed by Contractor.

Insurance and Liability

Contractor shall maintain commercial general liability insurance with limits of not less than per occurrence and workers' compensation as required by law. Contractor shall provide proof of insurance upon Client's request.

To the fullest extent permitted by law, Contractor shall indemnify and hold harmless Client from claims, damages, losses and expenses arising out of Contractor's negligent performance of the work, except to the extent caused by Client's negligence or willful misconduct.

Site Conditions and Safety

Client shall provide safe access to work areas, power as required, and notify Contractor of any known hazardous conditions. Contractor will comply with applicable safety regulations and shall be responsible for securing the work area during performance.

Confidentiality

Each party acknowledges that during performance it may receive confidential information of the other party. Such information shall be used solely for the performance of this Contract and shall not be disclosed to third parties without prior written consent, except as required by law. This obligation shall survive termination of the Contract for a period of two years.

Governing Law; Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes informally prior to initiating litigation.

Entire Agreement

This Contract, including any attached scopes, exhibits or Change Orders signed by both parties, constitutes the entire agreement between Client and Contractor and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment shall be binding unless in writing and signed by both parties.
