WINDOWS USAGE AGREEMENT

Recitals

This Windows Usage Agreement (the Agreement) is entered into effective as of by and between Property Owner: and Licensee: .

WHEREAS, Property Owner is the owner or lawful manager of the premises located at (Premises), which includes certain windows and glazing areas suitable for visual displays; and

WHEREAS, Licensee desires to obtain a limited, non-exclusive right to use specified window areas for permitted displays and related activities under the terms set forth herein, and Property Owner is willing to grant such right on the terms and conditions contained in this Agreement.

All payments are non-refundable unless otherwise agreed in writing. Licensee is responsible for any taxes, assessments or fees arising from its use of the windows, excluding taxes imposed on Property Owner's ownership of the Premises.

Maintenance, Repair and Access

Licensee shall maintain all displays and installations in a safe, neat and sanitary condition at Licensee's sole cost and expense. Licensee shall not alter or damage glazing, window frames, sills, or building finishes. Property Owner may require reasonable access to the window areas for inspection, maintenance or emergency repairs upon notice to Licensee except in the case of emergency.

Insurance and Indemnity

Licensee shall maintain commercial general liability insurance covering its activities under this Agreement with limits not less than and shall name Property Owner as an additional insured to the extent required by Property Owner. Licensee shall indemnify, defend and hold harmless Property Owner from and against any and all claims, losses, liabilities, damages and expenses arising out of Licensee's use of the windows except to the extent caused by Property Owner's gross negligence or willful misconduct.

Licensee shall provide proof of insurance prior to commencement of use and upon renewal of policies.

Confidentiality

The parties acknowledge that, in connection with performance of this Agreement, each may receive Confidential Information of the other. "Confidential Information" includes business terms, pricing, designs, trade secrets, and other non-public information identified as confidential or that reasonably should be understood to be confidential. Each party agrees to hold Confidential Information in strict confidence, to use it only for performance under this Agreement, and not to disclose it to any third party except to its employees, contractors or professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. The confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Exclusive venue for any dispute arising under this Agreement shall lie in the courts located within that jurisdiction.

Entire Agreement

This Agreement, together with any exhibits or schedules attached hereto and any written amendments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment, modification or waiver shall be effective unless in writing and signed by both parties.
