CONFIDENTIALITY

Each party shall keep confidential and not disclose to any third party any proprietary or non-public information received from the other party in connection with this Agreement. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party. The obligations of confidentiality shall survive termination of this Agreement for years.

WARRANTIES; LIMITATION OF LIABILITY

Provider warrants that materials and workmanship provided under this Agreement shall be free from material defects for a period of months from acceptance. Provider's sole obligation under this warranty shall be, at Provider's option, repair or replacement of defective components. Except as expressly provided, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. Neither party shall be liable for consequential, incidental, special or punitive damages, and aggregate liability for direct damages shall not exceed the total contract price.

CHANGES

Any change to the scope, price or schedule must be set forth in a written change order signed by authorized representatives of both parties. Provider shall not be required to perform changed work until a change order has been executed.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any signed change orders, represents the entire agreement between the parties regarding the subject matter hereof and supersedes all prior negotiations, proposals and agreements, whether written or oral.
