Depositor represents and warrants that the funds remitted are not derived from unlawful activity, that Depositor has full power and authority to enter this Agreement, and that the execution and performance of this Agreement will not violate any other agreement or legal obligation.

Notices required under this Agreement shall be delivered in writing to the addresses listed above or to such other address as a party designates in writing. Notices are effective upon receipt.
