Either party may terminate this Wire Transfer Request upon written notice if the other party materially breaches any obligation and fails to cure within the notice period specified above. Termination does not relieve the Requesting Company of liability for transfers already initiated or irrevocably processed.

CONFIDENTIALITY

All nonpublic information exchanged in connection with this request, including account numbers and transfer details, shall be held in confidence and used solely to effect the transfer, unless disclosure is required by law, regulation, or a competent authority. The receiving party shall apply at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

The Requesting Company represents and warrants that it is authorized to initiate this transfer, that the funds are not derived from unlawful activity, and that the transaction does not violate applicable sanctions or export control laws. The Requesting Company agrees to indemnify and hold harmless the Bank and any correspondent banks from and against any losses, claims or expenses arising from a breach of these representations or from inaccurate or incomplete wire instructions, except to the extent caused by the Bank's gross negligence or willful misconduct.

GOVERNING LAW
