This Wiring Agreement ("Agreement") is entered into as of by and between:

WHEREAS, Client desires to obtain professional wiring services for the Project located at: ; and

WHEREAS, Contractor is duly licensed, equipped and experienced to perform electrical and low-voltage wiring work and agrees to provide all labor, materials and supervision necessary to complete the Project in accordance with this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to such services.

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment, permits and inspections necessary to perform the wiring, connections, terminations, testing and commissioning described below. Work shall comply with applicable electrical codes, industry standards and manufacturer instructions.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Either party may terminate for convenience upon days' prior written notice. Upon termination for convenience, Client shall pay Contractor for work performed to date, materials ordered, and reasonable demobilization costs.

CHANGES AND CHANGE ORDERS

Any change to the Scope of Work shall be documented in a written change order signed by both parties. Change orders shall specify the adjusted scope, any additional compensation and any revision to the schedule. Contractor's hourly labor rate for changes is $ per hour, unless otherwise agreed in writing.

WARRANTY; INSPECTION

Contractor warrants that wiring work performed under this Agreement will be free from defects in workmanship for a period of from Date of Substantial Completion. This warranty does not cover damage due to misuse, alteration, unauthorized repair, or ordinary wear and tear. Final acceptance is subject to inspection and any agreed punch list items.

INSURANCE AND INDEMNITY

Contractor shall maintain commercial general liability, employer's liability and automobile insurance in amounts sufficient to cover the work. Contractor shall indemnify, defend and hold harmless Client from and against any claims, losses or liabilities arising out of Contractor's negligent performance or willful misconduct, provided such indemnity shall be limited to Contractor's proportionate fault.

CONFIDENTIALITY

Each party shall treat as confidential all nonpublic information marked confidential or which, by its nature, should reasonably be expected to be confidential. Confidential information shall not be disclosed except to agents or subcontractors on a need-to-know basis or as required by law. Confidential obligations shall survive termination for a period of .

COMPLIANCE AND PERMITS

Contractor shall secure and pay for all permits and inspections required by applicable authorities. All work shall comply with applicable codes, regulations and industry standards. Contractor shall notify Client of any conditions that may require design modifications or additional approvals prior to proceeding.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties shall first attempt to resolve disputes through good faith negotiation; if unresolved, disputes shall be submitted to binding arbitration in the governing state under commercially reasonable arbitration procedures agreed by the parties.

ENTIRE AGREEMENT

This Agreement, including any written change orders executed by the parties, constitutes the entire agreement between Client and Contractor regarding the Project and supersedes all prior or contemporaneous agreements, proposals and understandings, whether written or oral. No amendment or waiver shall be binding unless made in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other, except that Contractor may assign receivables. Severability: If any provision is held invalid, the remainder shall remain in full force and effect. Notices: Notices shall be in writing and delivered to the addresses set forth above.
