Parties and Contact Information

Recitals

WHEREAS, Company provides payment processing, funds disbursement and related advisory services that may involve electronic funds transfers by wire; and

WHEREAS, Client desires to receive and/or direct certain wire transfers in connection with the parties' commercial relationship and acknowledges the risks of unauthorized instruction and wiring fraud; and

WHEREAS, the parties wish to set forth procedures, responsibilities, and limitations of liability with respect to wiring instructions and fraud advisories.

Scope of Services

The Company will provide advisory services and procedural controls concerning the issuance, receipt and verification of wire transfer instructions. Services shall include identification of risk indicators, recommended verification steps, and incident notifications as requested.

Wiring Fraud Advisory and Verification Procedures

Client acknowledges that wiring instructions received by email or other electronic message may be subject to interception, spoofing or manipulation. Client agrees to the following mandatory verification measures:

  1. Prior to executing any wire transfer, Client will confirm new or changed wiring instructions by direct phone call to a previously documented contact at the counterparty using a telephone number on file or otherwise previously used for verified communications.
  2. Client shall not rely solely on an email or a message that appears to originate from a known contact without additional verification through independent channels.
  3. For transfers exceeding the threshold amount set below, Client agrees to obtain dual authorization as specified in the parties' operational procedures.

Client agrees to maintain internal processes consistent with the foregoing and to train personnel to follow these procedures. Company will use commercially reasonable efforts to notify Client of suspected fraudulent activity but has no obligation to verify counterparty identity beyond advisory recommendations unless express operational services are separately contracted.

Payment Terms

In consideration of the services provided by Company, Client shall pay the following fees in U.S. dollars.

Late payment shall accrue interest at the lesser of the maximum legal rate or , and Client is responsible for collection costs and attorneys' fees incurred by Company.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach that remains uncured for a period of 10 days after written notice of breach.

Confidentiality

"Confidential Information" means nonpublic information disclosed by one party to the other related to wiring procedures, bank account numbers, verification protocols, or other sensitive operational details. Receiving party shall (i) hold Confidential Information in strict confidence, (ii) use it solely to perform its obligations under this Agreement, and (iii) not disclose it to third parties except to employees or contractors who need access and who are bound by confidentiality obligations at least as protective as this Agreement. Confidentiality obligations survive termination for a period of three (3) years.

Limitation of Liability and Indemnity

Client acknowledges that neither Company nor its agents guarantee prevention of fraud. Except for liability resulting from willful misconduct or gross negligence, Company's liability under this Agreement shall be limited to direct damages not to exceed the fees paid by Client in the six (6) months preceding the claim. Client shall indemnify and hold Company harmless from claims arising from Client's failure to follow these verification procedures or from reliance on fraudulent instructions provided to Client.

Notification Procedures

In the event Client suspects unauthorized or fraudulent activity related to a wire transfer, Client shall immediately notify Company in writing and by telephone to the contacts identified above. Notifications must include date, amount, beneficiary details, and any evidence of communications that led to the transfer.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties concerning wiring fraud advisories and supersedes all prior oral or written agreements on the same subject.

Acknowledgments and Certifications
