WITHDRAWAL DECLARATION FORM

RECITALS

WHEREAS, the Withdrawing Party and the Counterparty previously entered into the Agreement referenced above for the purposes and on the terms set forth therein;

WHEREAS, the Withdrawing Party intends to withdraw from certain rights, obligations, or participation under the Agreement as set forth in this Declaration, and the parties desire to document the withdrawal and the parties' respective rights and obligations following such withdrawal;

WHEREAS, the parties wish to avoid further disputes and to set forth the consequences of the withdrawal, including any releases, indemnities, and transitional obligations.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. WITHDRAWAL

1.1 Declaration of Withdrawal. The Withdrawing Party hereby irrevocably withdraws the following (check all that apply) and the parties agree that such withdrawal will be effective as of the Effective Date specified above:

2. EFFECT OF WITHDRAWAL

2.1 Termination of Obligations. Except as expressly provided in this Declaration, the withdrawal relieves the Withdrawing Party from future obligations arising after the Effective Date that are within the scope of the withdrawal. Any obligations expressly reserved by the parties in this Declaration continue in full force and effect.

2.2 Accrued Rights and Payments. Withdrawal does not affect rights, liabilities, or obligations that accrued prior to the Effective Date. The Withdrawing Party shall satisfy any payment or performance obligations that accrued prior to the Effective Date unless the parties expressly agree otherwise in writing herein.

3. REPRESENTATIONS AND WARRANTIES

3.1 Withdrawing Party Representations. The Withdrawing Party represents and warrants that it has full authority to effect the withdrawal described herein; that it has not assigned the rights affected by this withdrawal except as disclosed in writing to the Counterparty; and that no pending litigation, lien, or encumbrance prevents performance of this Declaration.

3.2 Counterparty Representations. The Counterparty represents and warrants that it has received adequate notice of the withdrawal, has authority to accept the withdrawal, and that the acceptance of this Declaration will not violate any material agreement or law applicable to the Counterparty.

4. RELEASE AND INDEMNIFICATION

4.1 Release by Withdrawing Party. To the fullest extent permitted by law, the Withdrawing Party releases and forever discharges the Counterparty from any claims arising solely from the Withdrawing Party's post-Effective Date rights or obligations described within the scope of the withdrawal.

4.2 Indemnity by Withdrawing Party. The Withdrawing Party shall indemnify, defend, and hold harmless the Counterparty from and against any losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of any breach of the representations contained in this Declaration or the Withdrawing Party's failure to perform obligations that survive the Effective Date.

5. CONFIDENTIALITY

5.1 Except as otherwise mutually agreed in writing, the parties shall maintain as confidential the terms of this Declaration and any proprietary information exchanged in connection with implementing the withdrawal. Disclosure may be made as required by law or court order, provided the disclosing party uses reasonable efforts to limit the scope and to notify the other party where legally permissible.

6. RETURN OF PROPERTY

6.1 Each party shall promptly return or, at the request of the disclosing party, destroy all confidential materials, documents, samples, or other property of the other party in its possession that relate exclusively to the rights or obligations being withdrawn, subject to any retained copies required for legal or regulatory compliance.

7. NO ADMISSION

7.1 This Declaration is not an admission of liability, wrongdoing, or fault by any party. Neither the execution nor the performance of this Declaration shall be construed as an admission by any party for any purpose.

8. NOTICES

All notices required or permitted under this Declaration shall be in writing and delivered to the parties at the addresses set forth below by hand delivery, certified mail (return receipt requested), or reputable overnight courier. Notice is effective upon receipt.

9. GOVERNING LAW

10. ENTIRE AGREEMENT
